0 <br />4, <br />5. <br />6. <br />POSSESSION. <br />VI -A <br />The Seller agrees to deliver possession of the premises not <br />later than the date of closing, provided, that all conditions <br />of this agreement have been satisfied, or on such earlier <br />date as the parties may mutually agree. <br />TAXES AND ASSESSMENTS. <br />A. Seller. <br />The Seller shall pay, at or before closing, all of the <br />real estate taxes and installments of special assess- <br />ments due and payable in the year 1988 and prior years. <br />The Seller shall also pay, in full, at or before <br />closing, all assessments, levied, pending, certified in <br />the current year's taxes, or otherwise of record, as of <br />the date of closing; except that any special assessments <br />resulting from action taken by the City of Roseville or <br />Ramsey County between the execution of this Agreement <br />and the date of closing will be the responsibility of <br />the Buyer. <br />B. Buyer. <br />The Buyer shall have the obligation of paying all real <br />estate taxes and installments of special assessments <br />(except to the extent that Seller has agreed to pay said <br />assessments) due and payable thereafter. <br />C. Miscellaneous. <br />Nothing herein contained shall be deemed <br />alter any obligation of any tenant under <br />respect to the payment of property taxes <br />assessments. <br />SELLER'S COVENANTS AND WARRANTIES. <br />The Seller covenants and warrants as follows: <br />A. Specific Warranties. <br />to affect or <br />any Lease with <br />or special <br />(1) Title: f <br />The Seller warrants that it has good and exclusive <br />right, title and interest in and to the above <br />described real property, and has the right and ; <br />authority to sell and assign the same. The Seller <br />further warrants that all bills for work done or <br />materials furnished to or in the improvement of the <br />property have been paid in full. <br />(2) Encroachments: <br />The Seller warrants that all buildings and improve- <br />ments on the property are entirely within the boun <br />dary lines of the property, and that there are no <br />encroachments on the subject property. <br />-3- VI -A <br />
