<br />The Contractor shall be liable for liquidated damages amount(s) upon determination of <br />the City of Roseville that performance has not occurred consistent with the provisions of <br />the contract. The City shall notify Contractor in writing or electronically of each act or <br />omission in this Agreement reported to or discovered by the City. It shall be the duty of <br />Contractor to take whatever steps or action may be necessary to remedy the cause of the <br />complaint. <br /> <br />The City may deduct the full amount of any damages from any payment due to the <br />Contractor. If the amount of any damages exceeds the payment due the Contractor, the <br />City shall bill the Contractor for the additional amount. The remedy available to the City <br />under this paragraph shall be in addition to all other remedies which the City may have <br />under law or at equity. <br /> <br />6.06. Retention of Records <br /> <br />The Contractor shall retain all records pertinent to expenditures incurred under this <br />contract for a period of three years after the resolution of all audit findings. Records for <br />non-expendable property acquired with funds under this contract shall be retained for <br />three years after final disposition of such property. <br /> <br />7. SUBMITTING QUOTES <br /> <br />7.01 Quotes May Be Rejected in Whole or Part <br /> <br />The City of Roseville reserves the right to: <br />quotes; <br />quotes submitted; <br />quotes on the basis of consideration(s) other than <br />proceeds or cost; and <br />Contractor into a contract of lesser or <br />greater expense than described in the specifications or the respondent's reply. <br /> <br />7.02. Quotes to Become Part of Final Contract <br /> <br />The successful quote, and any written clarifications or modifications to the contents <br />thereof submitted by the successful Contractor and approved by the City in writing shall <br />become part of the contractual obligations.
