<br />SECTION1:AGREEMENTConsultant,appropriateProjectsitesafetymeasureswhicharenecessaryforConsultantto
<br />performitsServicesattheProjectlocationorworkareasinconnectionwiththeProject.
<br />1.1Agreement.ThisagreementconsistsoftheseGeneralConditionsandtheaccompanying
<br />/ƚƓƭǒƌƷğƓƷƭemployeesareexpresslyauthorizedbyClienttorefusetoworkunder
<br />writtenproposalorauthorizationΛͻ!ŭƩĻĻƒĻƓƷͼΜ͵ThisAgreementistheentireagreement
<br />conditionsthatmay,inanĻƒƦƌƚǤĻĻƭsolediscretion,beunsafe.Consultantshallhaveno
<br />betweenConsultantandClientandsupersedesallpriornegotiations,representationsor
<br />authorityoverorberesponsibleforthesafetyprecautionsandprograms,orforsecurity,at
<br />agreements,eitherwrittenororal.

<br />1.2PartiestotheAgreement.ThepartiestothisAgreementaretheBraunIntertecentity
<br />Λͻ/ƚƓƭǒƌƷğƓƷͼΜandtheclientΛͻ/ƌźĻƓƷͼΜasdescribedintheaccompanyingwrittenproposal
<br />3.9ProjectSiteAccessandDamage.Clientwillprovideorensureaccesstothesite.Inthe
<br />orauthorization.ConsultantandClientmaybeindividuallyreferredtoasaPartyor
<br />performanceofServicessomeProjectsitedamageisnormalevenwhenduecareis
<br />collectivelyastheParties.
<br />exercised.ConsultantwillusereasonablecaretominimizedamagetotheProjectsite.Unless
<br />otherwiseexpresslystatedinthisAgreement,thecostofrestorationforsuchdamagehas
<br />SECTION2:SCOPEOFSERVICES
<br />notbeenincludedintheestimatedfeesandwillbetheresponsibilityoftheClient.
<br />2.1Services.ConsultantwillprovideservicesΛͻ{ĻƩǝźĭĻƭͼΜinconnection
<br />withtheproject
<br />3.10MonitoringWells.TotheextentapplicabletotheServices,monitoringwellsare/ƌźĻƓƷƭ
<br />ΛͻtƩƚƆĻĭƷͼΜwhicharespecificallydescribedinthisAgreement.Clientunderstandsandagrees
<br />property,andClientisresponsibleformonitoringwellpermitting,maintenance,and
<br />that/ƚƓƭǒƌƷğƓƷƭServicesarelimitedtothosewhichareexpresslysetforthinthis
<br />abandonmentunlessotherwiseexpresslysetforthinthisAgreement.

<br />3.11ContaminantDisclosuresRequiredbyLaw.Clientagreestomakealldisclosuresrelated
<br />2.2AdditionalServices.AnyServicesnotspecificallysetforthintheAgreementconstitute
<br />tothediscoveryorreleaseofcontaminantsthatarerequiredbylaw.IntheeventClientdoes

<br />notowntheProjectsite,Clientacknowledgesthatitis/ƌźĻƓƷƭdutytoinformtheownerof
<br />toperformanceoftheAdditionalServicesandmayentitleConsultanttoadditional
<br />theProjectsiteofthediscoveryorreleaseofcontaminantsatthesite.Clientagreestohold
<br />compensationandscheduleadjustments.Additionalcompensationwillbebasedupon
<br />Consultantharmless,defend,andindemnifyConsultantfromclaims,damages,penalties,or
<br />/ƚƓƭǒƌƷğƓƷƭthencurrentratesandfees.

<br />3.1StandardofCare.ConsultantwillperformitsprofessionalServicesconsistentwiththe
<br />SECTION4:SCHEDULE
<br />degreeofcareandskillexercisedbymembersof/ƚƓƭǒƌƷğƓƷƭprofessionperformingunder
<br />similarcircumstancesatthesametimeandinthesamelocalityinwhichtheprofessional
<br />4.1Schedule.Consultantshallcompleteitsobligationswithinareasonabletimeandshall
<br />Servicesareperformed.CONSULTANTDISCLAIMSALLSTATUTORY,ORAL,WRITTEN,
<br />makedecisionsandcarryoutitsresponsibilitiesinamannerconsistentwiththeStandardof
<br />EXPRESS,ANDIMPLIEDWARRANTIES,INCLUDINGWARRANTIESOFMERCHANTABILITY,
<br />Care.SpecificperiodsoftimeforrenderingServicesorspecificdatesbywhichServicesare
<br />FITNESSFORAPARTICULARPURPOSE,ORPERFORMANCEOFSERVICESINAGOODAND
<br />tobecompletedareprovidedinthisAgreement.IfConsultantisdelayedintheperformance
<br />WORKMANLIKEMANNER.
<br />oftheServicesbyactions,inactions,orneglectofClientorothersforwhomClientis
<br />responsible,bychangesorderedintheServices,orbyothercausesbeyondthecontrolof
<br />3.2WrittenReportsandFindings.Unlessotherwiseagreedinwriting,/ƚƓƭǒƌƷğƓƷƭfindings,
<br />Consultant,includingforcemajeureevents,thenthetimefor/ƚƓƭǒƌƷğƓƷƭperformanceof
<br />opinions,andrecommendationswillbeprovidedtoClientinwritingandmaybedelivered
<br />ServicesshallbeextendedandConsultantshallreceivepaymentforallexpensesattributable
<br />viaelectronicformat.Clientagreesnottorelyonoralfindings,opinions,or
<br />tothedelayinaccordancewith/ƚƓƭǒƌƷğƓƷƭthencurrentratesandfees.

<br />4.2SchedulingOnSiteObservationsorServices.Totheextent/ƚƓƭǒƌƷğƓƷƭServicesrequire
<br />3.3ObservationorSamplingLocations.Locationsoffieldobservationsorsamplingdescribed
<br />observations,inspections,ortestingbeperformedattheProjectsite,Clientunderstandsand
<br />in/ƚƓƭǒƌƷğƓƷƭreportorshownon/ƚƓƭǒƌƷğƓƷƭsketchesreferenceProjectplansor
<br />agreesthatClient,directlyorindirectlythroughitsauthorizedrepresentative,hasthesole
<br />informationprovidedbyothersorestimatesmadeby/ƚƓƭǒƌƷğƓƷƭpersonnel.Consultantwill
<br />rightandresponsibilitytodetermineandcommunicatetoConsultanttheschedulingof
<br />notsurvey,set,orchecktheaccuracyofthosepointsunlessConsultantacceptsthatdutyin
<br />observations,inspections,andtestingperformedbyConsultant.Accordingly,Clientalso
<br />writing.Clientagreesthatsuchdimensions,depths,orelevationsareapproximationsunless
<br />acknowledgesthatConsultantbearsnoresponsibilityfordamagesthatmayresultbecause
<br />specificallystatedotherwiseinthereport.Clientacceptstheinherentriskthatsamplesor
<br />Consultantdidnotperformsuchobservations,inspections,ortestingthatClientfailedto
<br />observationsmaynotberepresentativeofitemsnotsampledorseenandfurtherthatsite
<br />requestandschedule.Clientunderstandsthattheschedulingofobservations,inspections,
<br />conditionsmayvaryoverdistanceorchangeovertime.

<br />3.4ProjectSiteInformation.ClientwillprovideConsultantwithpriorenvironmental,
<br />topayforallservicesprovidedbyConsultantdueto/ƌźĻƓƷƭschedulingdemandsin
<br />geotechnicalandotherreports,specifications,plans,andinformationtowhichClienthas
<br />accordancewith/ƚƓƭǒƌƷğƓƷƭthencurrentratesandfees.

<br />SECTION5:COSTANDPAYMENTOFSERVICES
<br />/ƚƓƭǒƌƷğƓƷƭServices.ClientagreestoprovideConsultantwithallplans,changesinplans,
<br />andnewinformationastoProjectsiteconditionsuntilConsultanthascompleteditsServices.
<br />5.1CostEstimates./ƚƓƭǒƌƷğƓƷƭpriceorfeesprovidedforinthisAgreementareanestimate
<br />andarenotafixedamountunlessotherwiseexpresslystatedinthisAgreement./ƚƓƭǒƌƷğƓƷƭ
<br />3.5SubsurfaceObjects.Totheextentrequiredtocarryout/ƚƓƭǒƌƷğƓƷƭServices,Client
<br />estimatedfeesarebasedupon/ƚƓƭǒƌƷğƓƷƭexperience,knowledge,andprofessional
<br />agreestoprovideConsultant,inatimelymanner,withinformationthatClienthasregarding
<br />judgmentaswellasinformationavailabletoConsultantatthetimeofthisAgreement.Actual
<br />buriedobjectsattheProjectsite.Consultantwillnotberesponsibleforlocatingburied
<br />costsmayvaryandarenotguaranteedorwarrantied.
<br />objectsorutilitiesattheProjectsiteunlessexpresslysetforthinthisAgreement,orexpressly
<br />requiredbyapplicablelaw.ClientagreestoholdConsultantharmless,defend,andindemnify
<br />5.2Payment.ConsultantwillinvoiceClientonamonthlybasisforServicesperformed.Client
<br />Consultantfromclaims,damages,losses,penaltiesandexpenses(includingattorneyfees)
<br />willpayforServicesasstatedinthisAgreementtogetherwithcostsforAdditionalServices
<br />involvingburiedobjectsorutilitiesthatwerenotproperlymarkedoridentifiedorofwhich
<br />orcostsotherwiseagreedtoinwritingwithinthirty(30)daysoftheinvoicedate.Unless
<br />ClienthadorshouldhavehadknowledgebutdidnottimelynotifyConsultantorcorrectly
<br />otherwisestatedinthisAgreementoragreedtoinwriting,/ƚƓƭǒƌƷğƓƷƭcostsforallservices
<br />identifyontheplansClientorothersfurnishedtoConsultant.Consultant,fromtimetotime,
<br />performedwillbebasedupon/ƚƓƭǒƌƷğƓƷƭthencurrentrates,fees,andcharges.No
<br />mayhireathirdpartytolocateundergroundobjectsorutilitiesand,unlessotherwise
<br />retainageshallbewithheldbyClient.Allunpaidinvoiceswillincuraninterestchargeof1.5%
<br />expresslystatedinthisAgreement,suchactionshallbeforthesolebenefitofConsultant
<br />permonthorthemaximumallowedbylaw.
<br />andinnowaywillalleviateClientofitsresponsibilitieshereunder.
<br />5.3OtherPaymentConditions.ConsultantwillrequireClientcreditapprovalandConsultant
<br />3.6HazardousMaterials.ClientwillnotifyConsultantofanyknowledgeorsuspicionofthe
<br />mayrequirepaymentofaretainerfee.Clientagreestopayallapplicabletaxes./ƌźĻƓƷƭ
<br />presenceofhazardousordangerousmaterialspresentonanyProjectsiteorinanysample
<br />obligationtopayforServicesunderthisAgreementisnotcontingenton/ƌźĻƓƷƭabilityto
<br />ormaterialprovidedtoConsultant.ClientagreestoprovideConsultantwithinformationin
<br />obtainfinancing,governmentalorregulatoryagencyapproval,permits,finaladjudicationof
<br />/ƌźĻƓƷƭpossessionorcontrolrelatingtosuchsamplesormaterials.IfConsultantobserves
<br />anylawsuit,/ƌźĻƓƷƭsuccessfulcompletionofanyproject,receiptofpaymentfromathird
<br />orsuspectsthepresenceofcontaminantsnotanticipatedinthisAgreement,Consultantmay
<br />party,oranyotherevent.
<br />terminateServiceswithoutliabilitytoClientortoothers,andClientwillcompensate
<br />5.4ThirdPartyPayment.ProvidedConsultanthasagreedinwriting,Clientmayrequest
<br />Consultantforfeesearnedandexpensesincurreduptothetimeoftermination.
<br />Consultanttoinvoiceandreceivepaymentfromathirdpartyfor/ƚƓƭǒƌƷğƓƷƭServices.
<br />3.7SupervisionofOthers.Consultantshallhavenoobligationtosuperviseordirect/ƌźĻƓƷƭ
<br />Consultant,initssolediscretion,mayalsorequirethethirdpartytoprovidewritten
<br />representatives,contractors,orotherthirdpartiesretainedbyClient.Consultanthasno
<br />acceptanceofalltermsofthisAgreement.NeitherpaymenttoConsultantbyathirdparty
<br />authorityoverorresponsibilityforthemeans,methods,techniques,sequences,or
<br />norathirdƦğƩƷǤƭwrittenacceptanceofalltermsofthisAgreementwillalter/ƌźĻƓƷƭrights
<br />proceduresofconstructionselectedorusedbyClient,/ƌźĻƓƷƭrepresentatives,contractors,
<br />andresponsibilitiesunderthisAgreement.ClientexpresslyagreesthattheAgreement
<br />orotherthirdpartiesretainedbyClient.
<br />containssufficientconsiderationnotwithstandingConsultantbeingpaidbyathirdparty.
<br />3.8Safety.Consultantwillprovideahealthandsafetyprogramforitsemployeesaswellas
<br />5.5NonPayment.IfClientdoesnotpayforServicesinfullasagreed,Consultantmayretain
<br />reasonablepersonalprotectiveequipmentΛͻtt9ͼΜtypicalfortheperformanceofthe
<br />worknotyetdeliveredtoClientandClientagreestoreturnallProjectData(asdefinedinthis
<br />ServicesprovidedbythisAgreementandasrequiredbylaw.Consultantshallbeentitledto
<br />Agreement)thatmaybein/ƌźĻƓƷƭpossessionorunder/ƌźĻƓƷƭcontrol.IfClientfailstopay
<br />compensationforallextraordinaryPPErequiredbyClient.Clientwillprovide,atnocostto
<br />ConsultantinaccordancewiththisAgreement,suchnonpaymentshallbeconsidereda
