<br />defaultandbreachofthisAgreementforwhichConsultantmayterminateforcauseSTRICTLIABILITY,BREACHOFCONTRACT,INDEMNIFICATIONOBLIGATIONSORBREACHOF

<br />9.1ServicesPriortoAgreement.DirectingConsultanttocommenceServicespriorto
<br />executionofthisAgreementconstitutes/ƌźĻƓƷƭacceptanceofthisunalteredAgreementin
<br />SECTION6:OWNERSHIPANDUSEOFDATA
<br />itsentirety.
<br />6.1Ownership.Allreports,notes,calculations,documents,andallotherdatapreparedby
<br />9.2Confidentiality.TotheextentConsultantreceivesClientinformationidentifiedas
<br />ConsultantintheperformanceoftheServicesΛͻtƩƚƆĻĭƷ5ğƷğͼΜareinstrumentsof
<br />confidential,ConsultantwillnotdisclosethatinformationtothirdpartieswithoutClient
<br />/ƚƓƭǒƌƷğƓƷƭServicesandarethepropertyofConsultant.Consultantshallretainallcommon
<br />consent.Additionally,anyProjectDatapreparedinperformanceoftheServiceswillremain
<br />law,statutoryandotherreservedrights,includingthecopyrightthereto,ofProjectData.
<br />confidentialandConsultantwillnotreleasethereportstoanythirdpartiesnotinvolved
<br />in
<br />6.2UseofProjectData.TheProjectDataofthisAgreementisfortheexclusivepurpose
<br />theProject.Neitheroftheaforesaidconfidentialityobligationsshallapplytoanyinformation
<br />disclosedbyClientand,unlessagreedtoinwriting,fortheexclusiveuseofClient.Clientmayinthepublicdomain,informationlawfullyacquiredfromothersonanonconfidentialbasis,
<br />notuseProjectDataforapurposeforwhichtheProjectDatawasnotpreparedwithouttheorinformationthatConsultantisrequiredbylawtodisclose.
<br />expresswrittenconsentofConsultant.Consultantwillnotberesponsibleforanyclaims,
<br />9.3RelationshipoftheParties.ConsultantwillperformServicesunderthisAgreementasan
<br />damages,orcostsarisingfromtheunauthorizeduseofanyProjectDataprovidedby
<br />independentcontractor,anditsemployeeswillatalltimesbeunderitssolediscretionand
<br />ConsultantunderthisAgreement.Clientagreestoholdharmless,defendandindemnify
<br />control.NoprovisioninthisAgreementshallbedeemedorconstruedtocreateajoint
<br />Consultantfromanyandallclaims,damages,losses,andexpenses,includingattorneyfees,
<br />venture,partnership,agencyorothersuchassociationbetweentheParties.

<br />9.4ResourceConservationandRecoveryAct.TotheextentapplicabletotheServices,
<br />6.3Samples,FieldData,andContaminatedEquipment.Samplesandfielddataremaining
<br />neitherthisAgreementnortheprovidingofServiceswilloperatetomakeConsultantan
<br />aftertestsareconducted,aswellasfieldandlaboratoryequipmentthatcannotbe
<br />owner,operator,generator,transporter,treater,storer,oradisposalfacilitywithinthe
<br />adequatelycleansedofcontaminants,areandcontinuetobethepropertyofClient.Samples
<br />meaningoftheResourceConservationandRecoveryAct,asamended,orwithinthemeaning
<br />maybediscardedorreturnedtoClient,at/ƚƓƭǒƌƷğƓƷƭdiscretion,unlesswithinfifteen(15)
<br />ofanyotherlawgoverningthehandling,treatment,storage,ordisposalofhazardous
<br />daysofthereportdateClientgivesConsultantwrittendirectiontostoreortransferthe
<br />substances.ClientagreestoholdConsultantharmless,defend,andindemnifyConsultant
<br />samplesandmaterials.Samplesandmaterialswillbestoredat/ƌźĻƓƷƭexpense.
<br />fromanyclaims,damages,penaltiesorlossesresultingfromthestorage,removal,hauling
<br />6.4DataProvidedbyClient.Electronicdata,reports,photographs,samples,andotherordisposalofsuchsubstances.
<br />materialsprovidedbyClientorothersmaybediscardedorreturnedtoClient,at/ƚƓƭǒƌƷğƓƷƭ
<br />9.5ServicesinConnectionwithLegalProceedings.ClientagreestocompensateConsultant
<br />discretion,unlesswithin15daysofthereportdateClientgivesConsultantwrittendirection
<br />inaccordancewithitsthencurrentfees,rates,orchargesifConsultantisaskedorrequired
<br />tostoreortransferthematerialsat/ƌźĻƓƷƭexpense.

<br />SECTION7:INSURANCEConsultantisnotaparty.
<br />7.1Insurance.Consultantshallkeepandmaintainthefollowinginsurancecoverages:9.6Assignment.ThisAgreementmaynotbeassignedbyConsultantorClientwithoutthe
<br />priorwrittenconsentoftheotherParty,whichconsentshallnotbeunreasonablywithheld.

<br />forlossesarisingoutofcausesoflosscoveredbytherespectiveinsurancepolicies.

<br />7.3CertificateofInsurance.ConsultantshallfurnishClientwithacertificateofinsurance
<br />9.9ForceMajeure.NeitherPartyshallbeliablefordamagesordeemedindefaultofthis

<br />Agreementtotheextentthatanydelayorfailureintheperformanceofitsobligations(other
<br />thanthepaymentofmoney)results,withoutitsfaultornegligence,fromanycausebeyond
<br />SECTION8:INDEMNIFICATION,CONSEQUENTIALDAMAGES,LIABILITYLIMITS
<br />itsreasonablecontrol,includingbutnotlimitedtoactsofGod,actsofcivilormilitary
<br />onlyindemnificationobligationshallbetoindemnifyand

<br />authority,embargoes,pandemics,epidemics,war,riots,insurrections,fires,explosions,
<br />holdharmlesstheClient,itsofficers,directors,andemployeesfromandagainstthose
<br />earthquakes,floods,adverseweatherconditions,strikesorlockouts,declaredstatesof
<br />damagesandcostsincurredbyClientorthatClientislegallyobligatedtopayasaresultof
<br />emergency,andchangesinlaws,statutes,regulations,orordinances.
<br />thirdpartytortclaims,includingforthedeathorbodilyinjurytoanypersonorforthe
<br />9.10Disputes,ChoiceofLaw,Venue.Intheeventofadisputeandpriortoexercisingrights
<br />destructionordamagetoanyproperty,butonlytotheextentproventobedirectlycaused
<br />atlaworunderthisAgreement,ConsultantandClientagreetonegotiatealldisputesingood
<br />bythenegligentact,error,oromissionoftheConsultantoranyoneforwhomtheConsultant
<br />faithforaperiodof30daysfromthedateofnoticeofsuchdispute.ThisAgreementwillbe
<br />islegallyresponsible.ThisindemnificationprovisionissubjecttotheLimitationofLiability
<br />governedbythelawsandregulationsofthestateinwhichtheProjectislocatedandall
<br />setforthinthisSection8.
<br />disputesandclaimsshallbeheardinthestateorfederalcourtsforthatstate.Clientand
<br />8.2IntellectualProperty.ClientagreestoindemnifyConsultantagainstlossesandcosts
<br />Consultanteachwaivetrialbyjury.
<br />arisingoutofclaimsofpatentorcopyrightinfringementastoanyprocessorsystemthatis
<br />9.11IndividualLiability.NoofficeroremployeeofConsultant,actingwithinthescopeof
<br />specifiedorselectedbyClientorothersonbehalfofClient.
<br />employment,shallhaveindividualliabilityforanyactsoromissions,andClientagreesnotto
<br />8.3MutualWaiverofConsequentialDamages.NOTWITHSTANDINGANYTHINGTOTHE
<br />makeaclaimagainstanyindividualofficersoremployeesofConsultant.
<br />CONTRARYHEREUNDER,NEITHERCONSULTANTNORCLIENTSHALLBELIABLETOTHE
<br />9.12Severability.Shouldacourtoflawdeterminethatanyclauseorsectionofthis
<br />OTHERFORANYCONSEQUENTIAL,PUNITIVE,INDIRECT,INCIDENTALORSPECIALDAMAGES,
<br />Agreementisinvalid,allotherclausesorsectionsshallremainineffect.
<br />ORLOSSOFUSEORRENTAL,LOSSOFPROFIT,LOSSOFBUSINESSOPPORTUNITY,LOSSOF
<br />PROFITORREVENUEORCOSTOFFINANCING,OROTHERSUCHSIMILARANDRELATED
<br />9.13Waiver.ThefailureofeitherPartyheretotoexerciseorenforceanyrightunderthis
<br />DAMAGEASSERTEDINTHIRDPARTYCLAIMS,ORCLAIMSBYEITHERPARTYAGAINSTTHE
<br />Agreementshallnotconstituteareleaseorwaiverofthesubsequentexerciseor
<br />OTHER.

<br />8.4LimitationofLiability.TOTHEFULLESTEXTENTPERMITTEDBYLAW,THETOTALLIABILITY
<br />9.14EntireAgreement.Thetermsandconditionssetforthhereinconstitutetheentire
<br />INTHEAGGREGATEOFCONSULTANT,CONSULTANTSOFFICERS,DIRECTORS,PARTNERS,
<br />understandingofthePartiesrelatingtotheprovisionofServicesbyConsultanttoClient.This
<br />EMPLOYEES,AGENTS,ANDSUBCONSULTANTS,TOCLIENTANDANYONECLAIMINGBY,
<br />AgreementmaybeamendedonlybyawritteninstrumentsignedbybothParties.Inthe
<br />THROUGHORUNDERCLIENTFORANYCLAIMS,LOSSES,COSTS,ORDAMAGESWHATSOEVER
<br />eventClientissuesapurchaseorderorotherdocumentationtoauthorize/ƚƓƭǒƌƷğƓƷƭ
<br />ARISINGOUTOF,RESULTINGFROMORINANYWAYRELATEDCONSULTANTS
<br />Services,anyconflictingoradditionaltermsofsuchdocumentationareexpresslyexcluded
<br />PERFORMANCEOFTHESERVICESORTHISAGREEMENT,FROMANYCAUSEORCAUSES,
<br />fromthisAgreement.
<br />INCLUDINGBUTNOTLIMITEDTONEGLIGENCE,PROFESSIONALERRORSANDOMISSIONS,
