Attachment 2 <br />NOW, THEREFORE, the parties agree as follows: <br />1. RECITALS. Each of the above Recitals are true and accurate and are incorporated as <br />material terms of this Agreement. <br /> <br /> 2. TERMINATION OF LEASE; SURRENDER OF PREMISES. The Lease shall <br />terminate effective May 31, 2025. The Tenant shall vacate and surrender the Premises and the <br />Property no later than June 2, 2025. The Tenant may continue to store the items that are currently <br />being stored on the Premises by the Tenant until the date of vacation. The Tenant shall not be required <br />to pay any additional rent to continue to store items on the Premises during this time. Prior to June 2, <br />2025, the Landlord and the Tenant shall determine which items that are being stored on the Premises <br />by the Tenant must be removed by the Tenant and which items, if any, may be retained by Landlord. <br />The Tenant shall provide any keys in its possession to Landlord no later than June 2, 2025. A final <br />walk through and conditions assessment shall be performed with representatives from both Tenant <br />and Landlord to determine if all conditions of this Agreement and the Lease have been satisfied. <br /> <br /> 3. NO RELEASE OF THE TENANT. Nothing contained herein shall release the Tenant <br />from any obligations under the Lease accruing on or prior to 11:59 p.m. on May 31, 2025. <br /> 4. SATISFACTION AND RELEASE OF CLAIMS. The Landlord will pay the Tenant <br />the sum of $143,760.00 as consideration for executing this Agreement and for the acquisition of the <br />Tenant improvements and trade fixtures, furniture and equipment and to fully resolve, settle, satisfy, <br />and release any and all claims or allegations the Tenant may have against the Landlord related to the <br />Property and the Premises and the termination of the Lease. <br /> <br /> 5. OCCUPANCY AND COSTS. The Landlord may assume occupancy of the Premises <br />and the Property on June 2, 2025 at 5:00 p.m. Effective at 5:00 p.m. on June 2, 2025, the Landlord <br />shall become responsible for any costs associated with the Premises and the Property that were <br />previously the responsibility of the Tenant, including, but not limited to, real estate taxes, all <br />insurance, utilities (including, but not limited to, water, garbage/recycling removal, electricity, gas, <br />phone, Internet, cable, sewer, storm sewer), and property maintenance and repair costs and <br />responsibilities. <br /> <br />\[Remainder of Page Intentionally Left Blank; Signature Pages to Follow\] <br /> <br /> <br />RS160-12-1026853.v5 <br />2 <br />Qbhf!252!pg!385 <br /> <br />
