Attachment 3 <br />DYNAMIC DISPLAY BILLBOARD COMMUNITY MESSAGING AGREEMENT <br />THIS AGREEMENT (“Agreement”) is dated , 2025 (“Effective <br />Date”),by andbetween Clear Channel Outdoor, LLC, a Delaware limited liability company, <br />(“Company”) and the City of Roseville, a Minnesota municipal corporation (“City”), and <br />together collectively referred to as the “Parties.” <br />WHEREAS, the Company desires to have a dynamic display billboard within the City <br />pursuant to and in accordance with Roseville City Code Section 1010.10; and <br />WHEREAS, upon execution of this Agreement, the Company has complied with all <br />permit requirements for having a dynamic display billboard with the City; and <br />WHEREAS, the City intends to exercise its right under Roseville City Code Section <br />1010.10 to use up to 6,000 12-second spots of advertising per month, per face, on the dynamic <br />display billboard pursuant to the terms set forth below. <br />NOW, THEREFORE, in consideration of the mutual promises, covenants and <br />conditions hereinafter set forth, the Company and the City intending to be legally bound hereby <br />agree as follows: <br />1. AllowedBillboards.The Company shall be allowed to convert lawful pre- <br />existing non-conforming billboards within the City the dynamic display billboards as listed in <br />Exhibit A.The Company shall comply with all permit and zoning requirements not otherwise <br />addressed in this Agreement. <br />2.
