<br />AR TICLE VIII.
<br />
<br />INDEMNIFICA nON, INSURANCE, LETTER OF CREDIT AND BOND
<br />SECTION 1. GENERAL
<br />
<br />A.
<br />
<br />All rights of City pursuant to indemnification, insurance, Letter
<br />of Credit or Bond, as provided for by this Franchise, are in
<br />addition to all other rights the City may have under this
<br />Franchise or any other ordinance, rule, regulation, or law.
<br />

<br />B. The exercise or failure to exercise by City of any rights
<br />pursuant to any section of this Franchise shall not affect in any
<br />way the right of City to subsequently exercise any such rights
<br />or any other right of City under this Franchise or any other
<br />ordinance, rule, regulation, or law.
<br />
<br />SECTION 2. INDEMNIFICATION AND INSURANCE
<br />
<br />A. Grantee shall fully indemnify, defend and hold harmless, City,
<br />its officers, boards, commissions, elected officials, agents, and
<br />employees against any and all costs, damage, expense, claims,
<br />suits, actions, liability, and judgments for damages,
<br />including but not limited to, expenses for legal fees, whether
<br />suit be brought or not, and disbursements and liabilities incurred
<br />by City related to this Franchise or the System in connection
<br />with:
<br />
<br />(1) Damage to persons or property, in any way arIsmg
<br />out of or through the acts or omissions of Grantee,
<br />their respective servants, officials, agents, or
<br />employees or to which Grantee's negligence or that
<br />of their respective servants, agents, officials or
<br />employees shall in any way contribute;
<br />
<br />(2) Any claim for invasion of the right of privacy, for
<br />defamation of any person, firm, or corporation, or
<br />the violation or infringement of any copyright,
<br />trademark, trade name, service mark, or patent, or
<br />of any other right of any person, firm, or
<br />corporation, except claims because of City's own
<br />programming; or

<br />(3) Grantee's failure to comply with the prOVIsiOns of
<br />this Franchise, any federal, state, or local law,
<br />ordinance, or regulation applicable to Grantee or the
<br />system.
