<br />B. <br /> <br />Grantee shall release, discharge, acquit, or absolve City in <br />connection with any and all claims which Grantee may now or <br />hereafter have or claim to have against City, its servants, <br />agents, employees, or officials, due to or arising out of damage <br />to any of Grantee's property or equipment, including, without <br />limitation, resulting or consequential loss of income, injury to <br />reputation, or any other resulting or consequential damages of <br />any kind, caused by or resulting from acts or omissions of City <br />or any of its servants, agents, employees, or officials. <br /> <br />( <br /> <br />C. If suit be brought or threatened against City, either <br />independently or jointly with Grantee, or with any person or <br />municipality, Grantee, upon notice given by City, shall defend <br />City at the cost of Grantee, and if final judgment is obtained <br />against City, either independently or jointly with Grantee, or <br />any other defendants, Grantee shall indemnify City and pay <br />such judgment with all costs and satisfy and discharge the same. <br /> <br />D. City reserves the right to cooperate with Grantee and <br />participate in the defense of any litigation either through <br />intervention or otherwise. Grantee shall pay upon receipt of <br />written demand from City, all expenses incurred by City in <br />defending itself with regard to any matters in this section. <br />These expenses shall include, but not be limited to, attorneys' <br />fees, and the reasonable value of services (as determined by <br />City) rendered by City or any employees, agents, or <br />representatives of City. <br /> <br />SECTION 3. INSURANCE <br /> <br />A. Grantee shall maintain liability insurance covering its <br />obligations of indemnification provided for in or as a result of <br />the exercise of this Franchise covering both the City and <br />Grantee and shall maintain said insurance during the entire <br />term of this Franchise in the minimum amount of: <br /> <br />(1) $500,000 for property damage to anyone person; <br /> <br />(2) $2,000,000 for property damage in anyone act or <br />occurrence; <br /> <br />( <br /> <br />(3) $1,000,000 for personal injury to anyone person; and <br /> <br />(4) $2,000,000 for personal injury in anyone act or <br />occurrence. <br /> <br />B. Such insurance shaH be with a company acceptable to City and <br />shall otherwise be in form and substance acceptable to City. <br />Such insurance policy with written evidence of payment of <br /> <br />- 45 - <br />
