<br />provisions of this Franchise shall not be a limitation on the <br />obligation of Grantee to comply fully with the Offering. <br />Grantee further acknowleges that all promises, offers, <br />representations, and inducements contained in the Offering of <br />Grantee were freely and voluntarily made to City by Grantee. <br /> <br />( <br /> <br />C. The Offering shall be permanently kept and filed in the Office <br />of the City Clerk and the originals or reproductions thereof <br />shall be available for inspection by the public during normal <br />business hours. Also, the Grantee may summarize the Offering <br />in a manner acceptable to City or reproduce the entire <br />Offering, and shall have either at the following locations in the <br />following quantities: <br /> <br />(1) Office of the City Clerk - 1 copy; <br /> <br />(2) Administrator designated in this Franchise - 1 copy; <br />(3) Public libraries - I copy each; <br />(4) Office of the City Attorney - 1 copy; <br />(5) Ramsey and Hennepin County Law Libraries - 1 copy <br />each; <br /> <br />(6) Local office of Grantee - 1 copy; <br />(7) Office of any School District in City - 1 copy; and <br /> <br />(8) Minnesota Cable Communciations Board. <br /> <br />D. In the event of conflicts or discrepancies between any part of <br />the Offering and the provisions of this Franchise or between any <br />part of the summary made by Grantee and the Offering, those <br />provisions which provide the greatest benefit to City, in the <br />opinion of the Council, shall prevail. <br /> <br />E. Grantee shall have continuing responsibility for this Franchise, <br />and if Grantee be a subsidiary or wholly owned corporate entity <br />of a parent corporation, performance of this Franchise shall be <br />secured by guarantees of the parent corporation in form and <br />substance acceptable to City, which shall be delivered at time <br />of, and as part of, acceptance of this Franchise. <br /> <br />c <br /> <br />F. <br /> <br />With its acceptance, Grantee also shall deliver to City an <br />opinion from its legal counsel, acceptable to City, stating that <br />this Franchise has been duly accepted by Grantee, that the <br />guarantees have been duly executed and delivered, that this <br />Franchise and the guarantees are enforceable against Grantee <br />and the guarantors in accordance with their respective terms, <br />and which opinion shall otherwise be in form and substance <br />acceptable to Ci ty. <br /> <br />- 63 - <br />
