Minnesota 55105

Dear Ms. Benda:

This letter is to confirm our telephone conversation of March 31, 1982. The follow-
ing matters were discussed:

1. Construction and Activation of the Institutional Network.
Teleprompter/Westinghouse is committed to construct and activate the Instit-
utional Network at the same time as the subscriber network. We are committed
to having the Institutional Network constructed and completely activated with-
in 18 months of certification by the Minnesota Cable Communications Board.

2. Provision of Scrambling and Descrambling Equipment to Non-Commercial Instit-
utions.
Teleprompter/Westinghouse has proposed an extensive array of interface equip-
ment for non-commercial users of the institutional network. A complete list-
ing of that equipment is attached to this letter. For any additional equip-
ment, we will provide that equipment at our cost, taking advantage of the dis-
counts available to Teleprompter/Westinghouse on a national basis.

3. Provision of Scrambling and Descramb1ing Equipment to Commercial Institutions.
Teleprompter/Westinghouse will refer commercial institutions to vendors for
scrambling and descrambling equipment for data communications use of our in-
stitutional network. It is our experience that commercial users will want
to take the responsibility to ensure the high level of security needed for
data communications. For video communications, Teleprompter/Westinghouse
will rent converters at the rates specified in our proposal.

If you have further questions, please feel free to contact me.

Sincerely,

1 U i I~i J
iYJ,~;J) ~,&L__,~

Ronald L.~Abrams
Area Hanager

Group W Televi5ion: KDKA.TV, P'ttsburQh .KPIX (TV), San FrenClSCO' KYW-TV, PhIladelphia' WBl,TV, Boston .INJI.TV, Baltimo<ll' WPCQ.TV, Charlotte
Group W Radio: KDKA and WPNT.
