IND�MNg'I.CATI�N. Roseville agrees to assurne sole liability for any <br />negligent or int�ntional acts of the assigned Empiayee(s} while performing the assigned duties <br />within the jurisdiction of either city. Each city agrees to indemnrfy, defend, and hold �arrnless <br />the other from any claims, causes of actian, damages, Ioss, cost or expenses including reasanabie <br />attorney's fees resulting from or related to t�e actions of e�ch city, its of£�cers, agents or <br />emplayees in the execution of the duties autlined �n this Agreement, e�cept as qualified by the <br />pre�ious sentence. <br />4. TERNIINATION, SEPARA�3ILITY. <br />A: This Agreement may be terminated by either party upon ninety (90) days' noti.ce <br />provided to the respective City M�nager af Roseville or FFre Chief afCente.nnial Fire District, <br />B. Upon. termination no further amounts s�iall be due arid payable by Centenni.al F'ire <br />to Roseville under Section 2 of ihi� agreement and any and aIl records or property of the <br />respective ciiies wili be retarned to the appropri�te ci�y w�thin 90 days. <br />C. �`his Agreement �s gar�erned by the laws afthe State ofMinnesot�: <br />D.
