C. The City of North St. Paul shall coordinate scheduling of wark to be performed <br />by the assigned Emplayee(sj with and shall receive prior approval of all scheduled hours to be <br />performed under this Agreement from the Roseville City Manager �€ his designee. <br />2. PAYMENT. The City of North St. Paul will, upon presentation of a periodic, billing <br />of services provided, and time spent pursuant to this Agreement, compensate the City of <br />Roseville for services rendered in the amount of Fifteen Thousand and No1100 Dollars <br />($15,000.00) far Four Hundred and Twenty Five (425) Employee service hours per calendar <br />year. Additional wark hours performed beyond this agreement will be billed at $�5lhour. <br />3. II�3EMN�FTCA'�'�d�. The City of Roseville agrees to assume sole liability for <br />any negligent or intentional acts of the assigned Eznployee(s} while performing the assigned <br />duties within the jurisdiction of either city. Each city agrees to indemnify, defend, and hold <br />harmless the other from any claims, causes of action, damages, loss, cost or expenses including <br />reasonable attorney's fees resulting froin or related to the actions of each city, its officers, agents <br />or employees in the execution of the duties outlined in this Agreement, except as qualified by the <br />previous sentence. <br />4. TE�iM.�.N�AT�U�, SEPARABILITY. <br />A. This Agreement ir�ay be terminated by either party upon 60 (60) days' notice <br />provided to the respective City Manager of Roseville or North St. Paul. <br />B. Upon termination, any and all records or properiy of the respective cities will be <br />returned to the appropriate city. <br />C. This Agreement is governed by the laws of the State of Minnesota. <br />D. In the event that any provision of this Agreement is held invalid, the other <br />provisions remain in fi�ll force and effect. <br />�=�;: <br />
