H4US�NG & REDEVELOPMENT AUTHORTTY <br />IN AND F4R THE CiTY OF RQSEVILLE <br />SERV�CES AGREEMENT <br />THIS IS AN AGREEMEIV�T entered into the �V, day of January, 2006 Uy and between <br />t�e Housiz�g & Rede�elopment Aut�iarity in and far th� City of Raseville, Min.nesota, l�ereinafter <br />ref�rred to as the HRA, and ihe City of Roseville-Finar�ce Depai-�ment, a gover�ental <br />m�nicipality organize� and existi�g ��der t�e laws af the State of Minnesota, hereinafter re%rred <br />io as t�e City. <br />W�TNESSETH: <br />WHEREAS, tlae HRA desi�'es to hire the City to re�ider certain fiscal assis�ance in <br />co��nectian with such undertal�i�gs af the HR.A., <br />NOW THEREFORE, the parties �ereta da mutually agr�e as follaws: <br />I, Sco e of S�rvices. The City shall perform necessary and arequested servze�s for t�e <br />implementa�ion of financial actions and activzty af ik�e �RA as autlined in Attachment A of ihis <br />agree�er�� arid sumz�arized as fallows: <br />A. Process bi-weel�ly payral� and payn�ent of invoices. <br />B. Provide manthly reporting including suzx�znaries o� �ast a�d c�'ent reve��u�s and <br />expendii�res. <br />C, Provide ass�s�ance and gt�idance in the pre�aaration af the HRA's annual budgei:. <br />D. Caardinate �he selec�io�� of a CPA firm and t�e �reparation of all audit worl�papers <br />for tl�e purposes of conduc�ing an annual �'ina��cial auc�it. (Audit costs sk�all be paid by <br />fihe HRA), <br />E. Establis� azzd ��aintai�l all banlcing and investinent relationships and proc�duzes. <br />�. �'rovide far the proportionate shar� of o�'fiee spaee, af�ice supplies, ete. <br />G. Maintain coverage for th� HRA and its acti�ities, on the City's ins�ra�xce policies. <br />II. Te�-�n, This agreeme�t shall be e�fective u�on the approval of th� HRA Baard of <br />Directnrs and the City Couzacil and. sktali cqntinue for one calendar year subject �o written renewal <br />l�� the parties fo� sul�sequent one year terms. <br />I�I. Carrinensation. The fees for the Czty sez-vzces s�all ba paid as a ixa�s�er of funds at <br />the begi��izag of tlae calendar year based t�pon 5% 01' the totai adminisira�ive budget for the HRA <br />wit.�i� that calendar yea�. <br />1V. Z�de�nnificaiion. The parties shall indemnify and l�old harmless each other and their <br />affieials, agents, and e�ployees froz� any lpss, c�ai�a, liabi�zty, axc� expense {including reasonable <br />attoz�r�ey's �ees and expe�s�s o� litigation) arising out of any ac�ion of the r�spec�ive par�ics in the <br />
