The fees for the Consultant's services will be billed on an hourly <br />hasis in accordance with the rates set fortl� in Attachment A. Fees shall be paid wi�hin 1 S days <br />following receipt of a monthly invoice and status report detailing the services perforr�ed <br />associated with grant manageznent. Consultant will also charge for reasonable out of pocket <br />expenses such as faxes, reproduction, delivery services, long distance telephone calls and other <br />similar items. Tt is anderstoad that the City wili seek reimbursement for the costs associated <br />with tl�e contract for consulting services from the Redeveloper per the redevelopment <br />contract apparoved with �he City af Roseville an June 20, 2005, <br />IV. _ Indemnification. The parties shall indemnify and hold harmle�s each ather and their <br />officials, agents, and �inployees from any loss, claim, liability, and expense (ineluding reasonabl� <br />attorney's fees and expenses of Iitigation) arising out af any actian canstitutin�; maIfeasance or <br />gross negIigence of the respective parties in the performance of �he service oithis contract. <br />V. Assi� This agreeinent shall not be assigned, sublet, ar transferred without the <br />written consent of the City. <br />VI. Canflict of Interest. T�e Consultant a�rees to immediately inform, by written notice, <br />the City Manager of possible contractual conflicts of interest in representing t�e Ci�y, as well as <br />property awners or develapers on the same project. Conflicts af interest may be grounds for <br />terminatio�n of this Agreement. <br />VII. Natices. AIl natices to be given hereunder shall be in writin�; and shall be deemed <br />given on the earlier of receipfi or three {3) business days after deposit in the United States mail, <br />postage prepaid, addressed to: <br />A.
