ciTy oF uosEV�LLE CONSULTANT SERVICES AGREEMENT TH�S TS AN AGREEMENT entered into the _ day of February, 2406 by and between the City of Ros�ville, Minnesata, hereinafter referred to as the City, and Barsness Consulting Services, Inc., a carporation organized and existing �znder the laws oi the Siate of Minnesota, hereinafter referred to as the Consultant. WITNESSETH: WHEREAS, the City desires io hire the Consultaz�t to prepare and manage the application and facilitation of new,g, ants in association with t�e Twin Lakes Redevelopment Project as listed belaw: A. Department af Trade and Ecanamic Developn�ent Contamination CIean up Grant. B. Metrapolita� Council Tax Base Revitalization Grant. C. Rarnsey County Environmental Response Fund law interest loan. D. Any other eligible grar�t solicitation available in 2006. NOW THEREFORE, the parties hereto do mutually agree as follows: I. Scope of Services. The Consultant shall perform necessary and req�ested services regarding the facilitation and completion oFany new grant or loan applications desired for the Twin Lakes project for 20�6 grant solicitatian cycle as autlined in Attachrnent A of this agreement. II. Term. This agreement shall he effective upon the approval of the City Council az�d execution by �he Mayor and City Mana�;er and continue for one calendar year or until terminated by either party up�n 30-day written notice thereof, whichever occurs �rst. III. Compensation. The fees far the Co�asuItant'� services will be bilIed an an i�ourly basis in accnrdance with the rates set forth in Attachment A. Fees s�all be paid within 1 S days follawing receipt o£ a zzzonthly invoice and status report detailing for services performed assaciated witl� grant management. Cansuliant will also charge for reasonabie out of pocket expenses such as faxes, reproductian, delivery services, lang distance telephone calls and other similar items. It is uuderstood that the City will seek reim�iursement for the costs assaciated wit� the contract for consulting services irom �he Redevelapear per the redevelopment contract a�praved an June 20, 2005 IV. _ Indemnification. The parties shal� ir�demnify and hold harmless each other and their officials, agents, and emplayees from any loss, claim, liability, and e�cpense {including reasonable attorney's fees and expenses of litigation) arising out oiany action constituting malfeasance or
