FINAL PROPOSED VERSION 5-30-06 <br />RECREATION AGREEMENT <br />This Agreement is made this day of ,2006 by and between the <br />City of Roseville, a municipal corporation, and the Friends of the Oval <br />Foundation, a non-profit corporation under Minnesota law. <br />WHEREAS, the City of Roseville owns and operates the Roseville Skating <br />Center (RSC), which consists of three components: the Guidant John Rose <br />Minnesota OVAL, the Indoor Ice Arena, and the Banquet Facility. <br />WHEREAS, the Roseville Skating Center serves an estimated 250,000 <br />recreational occasions annually. <br />WHEREFORE, Friends of the OVAL Foundation was created in 1993 for <br />the purposes of assisting in the development and ongoing financial viability of the <br />Guidant John Rose Minnesota Oval; to promote the year round use of the Guidant <br />John Rose Minnesota OVAL by all interested persons; to encourage participation <br />in activities including but not limited to, speed skating, bandy, inline skating, <br />figure skating and hockey; to solicit, receive, hold and expend funds for such <br />purposes; to any and all acts necessary that are permitted by law for the <br />accomplishment of such purposes. <br />WHEREAS, in 2004, problems were experienced with the chiller unit at <br />the Guidant John Rose Minnesota OVAL, and needed repairs were identified. <br />WHEREAS, in March, 2005, the Roseville City Council authorized the <br />hiring of a consultant to identify the nature of the mechanical problems, and the <br />— needed repairs. <br />WHEREAS, on January 24,2005, the Roseville City Council also <br />authorized the creation of an OVAL Task Force to study the long term financial <br />viability of the Roseville Skating Center <br />WHEREAS, the OVAL Task Force consisted of 18 members representing <br />various stakeholders in the Roseville Skating Center. <br />WHEREAS, the OVAL Task Force met � 0 times between March and May <br />of 2005, and ultimately presented a June 20,2005 Final Report to the Roseville <br />City Council containing recommendations addressing the long term viability of the <br />Guidant John Rose Minnesota OVAL portion of the Roseville Skating Center. <br />� <br />
