with the Redevelopment, it will be necessary to assemble and consider information relative to the economics, site assembly, phasing, environmental remediation and other aspects of the Redevelopment. The purpose of this Agreement is to allow Redeveloper an opportunity to assemble such necessary information, to refine its Redevelopment proposal and to negotiate with the City concerning the execution of one or mare contracts far private redevelopment (collectively, the "Redevelopment Agreement") which, if executed, will set forth the rights and responsibilities of the City and Redeveloper with respect to such Redevelopment. (b� It is the intention of the parties that Redeveloper will proceed with the development activities necessary to permit Redevelopment in a manner, and on terms and conditions, which are mutually acceptable to Redeveloper and the City. The parties acknowledge that in order far Redevelopment to occur, Redeveloper may at some point need financial and/or site assembly assistance from the City. This Agreement does not, however, constitute either approval or such financial or site assembly assistance, nar does it obligate the City to provide such assistance, but the City shall cooperate with such efforts to obtain and will reasonably consider requests far financial a�id/or site assembly assistance. 4. Undertakint� bv Redeveloper. During the term of this Agreement, Redeveloper intends to undertake and pursue certain activities with respect to the Redevelopment. Redeveloper's activities will include the following: I i i development of an Implementation Plan far the Redevelopment that is substantially consistent with Master Plan guidelines, or the advising of modifications far consideration by the City to the Master Plan guidelines, { i G� determination of costs of Redevelopment, including site assembly and preparation of the land far construction, [ii�� analysis of necessary government approvals that will be required and the likelihood and timing of the same, [ix�� review of sources of financing, analysis of the feasibility of the Redevelopment, and {}�� such other activities as would be customary and necessary to determine whether to proceed with the Redevelopment. City's Undertakin� and AQreement. (a) The City agrees to cooperate with Redeveloper in Redeveloper's undertakings, and specifically agrees that during the term of this Agreement the City will not (i) provide or enter into an agreement far provision of financial assistance to any third party in connection with any proposed redevelopment within the Redevelopment Area, (ii) negotiate with any other party for any redevelopment within the Redevelopment Area or (iii) except as may be necessary in connection with the provision of public improvements not related to new development
