support to the HRA. The budget in 2005 is $45,000 estimated based upon 112 of the Executive <br />Director salary plus 1/4 of the support staff salary, benefits and overhead. <br />TV. Indemnification. The parties shall indemnify and hold harmless each other and their <br />officials, agents, and employees from any loss, claim, liability, and expense (including reasonable <br />attorney's fees and expenses of litigation) arising out of any action of the respective parties in the <br />performance of the service of this contract. <br />V. Assi�nment. This agreement shall not be assigned, sublet, or transferredby the City <br />or the HRA without written consent of the other party and a minimum of 30 days notice in <br />writing by the City. <br />VI. Conflict of Interest. The City agrees to immediately inform, by written notice, to the <br />HRA Chair, possible contractual conflicts of interest in representing the HRA for staff services. <br />Conflicts of interest may be grounds for termination of this Agreement. <br />VII. Termination: This agreement may be terminated by a majority vote of either party <br />and for any cause upon 30-day written notice. <br />VIII. Notices. A11 notices to be given hereunder shall be in writing and shall be deemed <br />given the earlier of receipt or three (3) business days after deposit in the United States Mail, <br />postage prepaid, addressed to: <br />A.
