witb �� Redevelopment, it wi11 be necessary to assemble and consider information relative to the ecoiaon-�ics, site assembly, phasing, el�virozunental remediation and other aspects of the Redevelopment. '�1�e purpose of this Agreement is to a11ow Redeveloper an opportunity to �i,�: ; i7� �� �i�ch r�ecessa�y information, to refine its Redevelopment proposal and to negotiate with the City co�lca�ning the execution of one or inore contracts for private redevelopment (collectively, the "Redevelopn�ei�� Agreement") which, if executed, wi11 set forth the rights and responsibilities of the City and Redeveloper with respect to such Redevelopment. �b� It is the intention of the parties that Redeveloper wi11 proceed witb the development activities nec�ss�uy to permit Redevelopment in a manner, and on terms and conditions, which are mutually acceptable to Redeveloper and the City. The parties acknowledge that in order for Redevelopment to occur, Redeveloper may at some point need �inancial andlor site assembly assistance from the City. This Agreement does not, however, constitute either approval or such financial or site assembly assistance, nor does it obligate the City to provide such assistance, but the City sha11 cooperate with such efforts to obtain and wi11 reasonably consider requests for �inancial �u�dlor site ass��lbly assistance. 4. Undertakin�by Redeveloper. During the term of this Agreement, Redeveloper intends to undertake and pursue certain activities with respect to the Redevelopment. Redeveloper's activities wi11 include the following: �i� development of an Implementation P1an for the Redevelopment t��at is substantially consistent with Master P1an guidelines, or the advising of modi�ications for consideration by the City to the Master P1an guidelines, (ii) a��n�i�ation of costs of Redevelopment, including site assembly and preparation of the land For construction, (iii) analysis of necessary government approvals that wi11 be required and the 1ikelihood and timing of the same, (iv) review of sources of �inancing, analysis of the feasibility of the Redevelopment, and such other activities as would be customary and necessary to detern�.i�e whether to proceed witk� the Redevelopment. 5. City's Undertakin� and A�reement. (a) The City agrees to cooperate witl� Redeveloper in Redeveloper's undertakings, and specifically agrees that during the term of this Agreement the City wi11 not {i} provide or enter into an agreement for provision of financial assistance to any third party in connection v�ith any pro osetl re evelopment within the Redevelopment Area, (i�} negotiate with any oth�r party I�ar �i tr��c�ev�l p aeiai within the Redevelopment Area or (iiz� except as n�ay be necessary in connection with the provision of public improvementsnot related to new development G�� �..., � ,� ;�
