ARTICLE 7 <br />SECTION 7.01 Liability and Indemnification <br />Each party agrees that it shall be responsible for its own acts and omissions a��d t�.e <br />results thereof to the extent authorized by law and shall not be responsible for the acts and <br />omissions of the other party and the results thereof. The liability of the parties shall be governed <br />by and limited to the tort liability provisions found in Minnesota Statutes Chapter 466, as <br />amended from time to time, and any other applicable law, notwithstanding the foregoing. This <br />section shall survive any termination of this Agreement. <br />SECTION 7.02 Default <br />A. Either party shall have the right to terminate this Agreement at any time, after six (6) <br />nzont�s written notice, in the event that the other party fails to comply with any of the material <br />te�.ns and conditions of this Agreement. Such notice shall specify any and all terms and <br />conditions that the terminating party alleges the other party has failed to comply with, and the <br />other parry shall have a reasonable opportunity to correct any such term or condition <br />B. Notwithstanding Section 7.02, Part A, Roseville's failure to pay undisputed charges <br />due the Board under the terms of this Agreement shall be deemed a material breach of the <br />contract. Upon such a breach, the Board may terminate this contract after three (3) months <br />written notice, and shall have the right to seek payment of any outstanding charges pursuant to <br />any remedy provided by law, including collection costs and expenses and reasonable attorneys <br />fees. <br />---� <br />
