ARTICLE 8 <br />SECTION 8.01 Authorized Sale of Water to other Cities by Citv of �tQSeviil� <br />Roseville may sell water obtained from the Board to other cities under the following <br />conditions: The Contract Agreement between Roseville and other cities shall be for a term that <br />may not exceed the term set forth in Section 1.02 of this Agreement, and shall contain terms and <br />conditions similar to the terms and conditions contained in this Agreement. New agreements, <br />extensions or amendments to existing agrecments relating to the sale of water shall only be made <br />with the Board's prior written approval, which approval shall not be unreasonably withheld. <br />ARTICLE 9 <br />REPRESENTATIONS AND WARRANTIES <br />SECTION 9.01 Authority, Sindin�' Effect <br />Both parties represent and warrant that the individuals executing this Agreement on <br />behalf of each of the parties have the fiall power and authority to execute and perform this <br />Agreement, and that this Agreement constitutes a legal, valid and binding obligation enforceable <br />in accordance with its terms. <br />SECTION 9.02 Corporate Authorization <br />Both Parties represent and warrant that the execution and delivery of this Agreement and <br />the performance of duties contemplated herein have been duly authorized by all necessary <br />legislative or corporate action. The execution, delivery and performance of this Agreement will <br />not conflict with or result in the breach or violation of any tenn or provision of any of either <br />party's municipal ordinances or state statutes, charter or constitution, any other state or federal <br />law, or any other provision or authority. <br />$ <br />
