� Monitoring, troubleshooting and evaluation of network and communications <br />infrastructure. <br />Support of systems to be provided by Roseville is generally within normal <br />working hours of $:OQ am until 4:3D pm Monday through Friday. However, <br />considerations will be made for emergency situations and system upgrades <br />which would require off hours support. <br />B. Roseville shall be solely responsible for compensating the assigned <br />Empfoyee(s) engaged in providing computer and technical services under this <br />Agreement, including any overtime wages incurred, as well as any insurance or <br />employee benefits provided under the policies or agreements of Roseville. In addition, <br />Roseville shall be solely responsible for worker's compensation, reemployment <br />insurance benefits, and other employee related laws, including OHSA, ERISA, RLSA, <br />and FMLA. Roseville shall retain the authority to control the employees, including the <br />right to hire, fire and discipline them. <br />C. Mounds View will provide the necessary office, equipment, and supplies <br />for the assigned Emplayee(s} to provide the services required hereunder and will bear <br />all cost attendant thereto, Mounds View is responsible for any additional licensing, <br />software, and hardware necessary to operate and access network servers and other <br />related equipment owned by MOUNDS VIEW. <br />D. The City Administrator, or his designee of Mounds View shall <br />communicate scheduling of work to be performed by the assigned Employee(s}. <br />2. PAYMENT. Mounds View will compensate Roseville for services <br />rendered in the annual amount of Eight Thousand Five Hundred and no1100 Dollars <br />($8,500.00) for services rendered. Mounds View shall make monthly payments, upon <br />presentation by Roseville of a monthly billing equal to one-twelfth (1112th) of the annual <br />amount herein stated. This amount does not include direct service costs associated <br />with the 1P telephony system which includes local carrier charges, third party <br />maintenance contracts including Cisco SmartNet, and software licensing. These <br />charges are billed monthly from this agreement under the provision listed in the <br />Telephony Services Cost Recovery Agreement. <br />3. INDEMNIFICATION. Roseville agrees to assume sole liability for any <br />negligent or intentional acts of the assigned Employee(s} while performing the assigned <br />duties within the jurisdiction of either city. Each city agrees to indemnify, defend, and <br />hold harmless the other from any claims, causes of action, damages, loss, cost or <br />
