CONTRACT FOR LEGAL SERVICES <br />This agreement is entered into by and between The City of Roseville (hereinafter <br />"City"), 2660 Civic Center Drive, Roseville, MN 55113 and the law firm of Ratwik, <br />Roszak, & Maloney, P.A. (hereinafter"Law Firm"), 300 U.S. Trust Building, 730 Second <br />Avenue South, Minneapolis, N,fN 55402 for the purpose of utilizing the Law Firm to <br />provide legal services to the City. <br />RECITALS <br />1. By Request for Proposal dated July 29,2005 (the "RFP"), the City solicited <br />proposals for civil legal services. <br />2. On August 31,2005, the Law Firm submitted a proposal for civil City <br />Attorney legal services on a retainer basis. <br />3. The yearly retainers identified in the August 31,2005 Proposal submitted by <br />the Law Firm are as follows: <br />Year One (November 1,2005 — October 31,2006) $111,600 <br />Year Two (November 1,2006 — October 31,2007) $114,948 <br />Year Three (November 1,2007— October 31,2008) $118,396 <br />4. On October 24,2005, the City Council authorized and directed staff to <br />negotiate with the Law Firm. The foregoing agreement reflects the results of that <br />negotiation. <br />NOW THEREFORE, IN CONSIDERATION OF the mutual promises contained <br />herein and other good and sufficient consideration the parties agree to the following: <br />TERMS <br />1.1 Scope and Nature of Retainer Services: <br />1.1.1. The parties agree to the following description of the nature of the <br />legal services to be providedby the Law Firm to the City as set forth <br />in the R�P: <br />a.� Attendance at regular or special City Council <br />meetings. <br />b.� Review of Council and Planning Commission <br />agenda items and minutes. <br />
