INDEMNIFICATION. Roseville agrees to assume sole liability for any <br />negligent or intentional acts of the assigned Ernployee(s) while performing the assigned duties <br />within the jurisdiction of either city. Each city agrees to in�emnify; defend, and hold harmless <br />tihe other from any claims, causes af action, damages, loss, cost or expeiises includin� reasona.ble <br />attorney's fees resulting from ar related to the actions �f each city, its officers, agents ar <br />ernployees in the executian of the duties outlined in this Agree�nent; except as qualifed by ti�e <br />previous sentence. <br />4. TERMINATION, SEPARABILITY. <br />A. This Agreement �nay be terEninated by either party upon ninety (90) days' notice <br />provided to the respective City Manager of RosevilIe or Ci�y Adrrzinistrator of Forest Lake. <br />B. Upon ter�nination no :Further amounts shali be due and payable by �orest Lake to <br />Roseville under Section 2 of tl�is agreement and any and all records or property of tl�e respective <br />cities will be retuz-ned to the appropriate cify within 90 c�ays. <br />C. This Agreement is governed by the la�vs of the State of Mir�esota. <br />D. In ihe event that any provision of this Agreement is held invalid, the other <br />provisions rernain in iuIl force and effect. <br />E.
