Attachment C <br />(1) Any property taxes and special assessments to be paid by Buyer pursuant <br />to this Agreement; and <br />(2) Building codes and laws and ordinances relating to zoning, land use and <br />environmental matters. <br />(3) Utility and/or roadway easements that do not interfere with the operation <br />of the Property. <br />(4) Reservations of mineral rights to the State of Minnesota. <br />(5) Any encumbrances that are Permitted Encumbrances pursuant to Section <br />7(c) hereof. <br />b. A title insurance policy, or a suitably marked-up commitment for title insurance <br />initialed by the Title Insurer, as hereinafter defined, in the form required by this <br />Agreement. <br />c. A standard form of Seller's affidavit. <br />d. The appropriate federal income tax reporting forms. <br />e. A Certificate of Real Estate Value. <br />f. A closing statement detailing the financial terms of the closing. <br />g. All other documents necessary to transfer the Property to Buyer free and clear of <br />all encumbrances except the Permitted Encumbrances. <br />h. The Lease attached hereto as Exhibit C(the "Lease"). <br />i. The Release of Claims, attached hereto as E�ibit D(the "Release of Claims") <br />j. The Escrow Agreement, <br />k. The Temporary Construction Easement, attached hereto as E�ibit F(the <br />"Temporary Construction Easement"). <br />6. Costs and Prorations. Seller and Buyer agree to the following prorations and <br />allocations of costs: <br />a. Title Insurance and Closing Fee. Buyer will pay all costs of issuing the title <br />insurance commitment. Buyer will pay all title insurance premiums and <br />surcharges required for the issuance of any owner's title insurance policy required <br />Page 3 <br />
