buildings as well as remote electronic access to CoR's computer system. <br />_ 6.1.4 Appoint one or more qualified employees to perform system administrator duties, <br />_ including acting as a primary point of contact for LETG for reporting and verifying <br />_ problems, and performing System backup duties. At least one member of the <br />_ system administrator's group that is appointed by CoR should have completed <br />_ LETG's End-Users training and System Administrator training (if available). The <br />_ system administrator(s) must be familiar with the Products, the System platform <br />_ upon which the Products operate the operating system, database administration, <br />_ network capabilities such as backing up, updating, adding, and deleting System and <br />_ user information, and the client, server and stand alone personal computer <br />_ hardware. <br />_ 6.1.5 Permit LETG to periodically conduct audits of CoR's records and operations related <br />_ to the Services, Products, and usage of application and database management <br />_ Software. LETG may use the information collected in calculating its service fee for <br />_ the next term of the Agreement. <br />_ 6.1.6 Provide LETG, at no charge, a non-hazardous environment for work on City <br />_ property that includes shelter, heat, light, and power, and provide LETG with full <br />_ and free access to the covered Products. CoR shall provide LETG with all <br />_ necessary information pertaining to its hardware and software with which the <br />_ Products are interfacing in order to enable LETG to perform the Services. <br />6.1.7 Run any anti-virus software installed by LETG as part of its System. <br />6.1.8 Obtain and install any operating system Upgrades to its System. Before installing <br />� any operating system upgrade, CoR shall contact LETG to verify that the operating <br />a system upgrade is acceptable. <br />a Section 7. ASSIGNMENT. <br />a 7.1 LETG shall not assign its rights and interests pursuant to this Agreement or subcontract <br />a any part of this Agreement without first obtaining the express written permission of CoR. <br />a Section 8. INDEMNIFICATION. <br />a 8.1 LETG shall indemnify, defend and hold harmless CoR and all of its officials, employees, <br />a contractors and agents from and against any and all losses, damages, expenses, including <br />a attorneys' fees arising from all suits, actions, or claims of any character, name and description, <br />a brought for, or on account of any injuries or damages received or sustained by any person, or <br />a persons or property by or from the said LETG or by or in consequence of any neglect in <br />a safeguarding the work, or through the use of unacceptable materials or by or on account of <br />a any act or omission, neglect or misconduct of LETG or its personnel or subcontractors, or by <br />a or on account of any claims or amounts recovered for any infringement of patent, trademark or <br />a copyright, or from any claims or amounts arising or recovered under the "Worker's <br />a Compensation Law", or violation of any other law, ordinance, order or decree. <br />Page 10 of 19 <br />
