G.4 OTHERTHAN THE LIMITED WARRANTIES SET FORTH IN THIS SECTION, LETG MAKES NO OTHER IMPLIED OR EXPRESS WARRANTIES, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES REGARDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR _ PURPOSE. BY THIS SECTION, LETG EXPRESSLY DISCLAIMS, AND CoR WAIVES AND _ HEREBY UNDERSTANDS THAT LETG EXPRESSLY DISCLAIMS, ANY OTHER IMPLIED _ OR EXPRESS WARRANTIES, EXCEPT THE WARRANTIES EXPRESSLY SET FORTH _ HEREIN. _ Section 5. TERM OF AGREEMENT. _ 5.1 This Agreement shall commence upon final acceptance by CoR of the work being provided by _ LETG pursuant to the parties' Software and Hardware License and Services Agreement. This _ Agreement may be renewed by CoR for an indefinite series of one year terms, each _ commencing on January 1 st. _ 5.2 If CoR does not renew the Agreement, or if this Agreement is otherwise terminated, and CoR _ later wishes to reinstate this Agreement, it may do so with LETG's consent provided that CoR _ pays to LETG the amount that it would have paid if the Agreement had been renewed or kept _ in effect, CoR ensures that all of its Equipment is in good operating condition at the time of _ reinstatement, and all copies of the specified Software listed in the Description of Covered _ Products which is attached to this Agreement as Exhibit A, are to be covered by the _ Agreement. _ 5.3 Upon the expiration or termination of this Agreement, the parties shall immediately deliver to _ each other all confidential information of the other, including all copies which the party _ previously provided in furtherance of this Agreement. Confidential information shall include: (i) _ proprietary materials and information regarding technical plans; (ii) any and all other _ information of whatever type and in whatever medium including data, developments, trade _ secrets and improvements, that is disclosed by LETG to CoR in connection with this _ Agreement; and (iii) all geographic information system, address, telephone, or like records and _ data provided by City to LETG in connection with this Agreement that is required by law to be _ held confidential. Notwithstanding anything to the contrary contained in this provision, all _ government data shall be governed by the Minnesota Government Data Practices Act, _ Minnesota Statutes, Chapter 13. _ Section 6. RESPONSIBILITIES OF CoR. _ 6.1 Throughout the term of this Agreement, CoR hereby agrees to: _ 6.1.1 Maintain any and all of its electrical and physical environments in accordance with _ the System manufacturer's specifications. _ 6.1.2 Take standard industry precautions as recommended by LETG (e.g. backing-up _ files) to ensure database security. 6.1.3 Allow LETG to access its System, which includes allowing physical access to City Page 9 of 19
