In consideration of Allina providing medical direction services as <br />described in this Agreement, the Law Enforcement Agencies shall pay Allina the total sum of <br />$2,100.00 per year in quarterly payments of $525.00, inclusive of costs. The Law Enforcement <br />Agencies certifies that such compensation paid to Allina is fair market value for medical <br />leadership and is attributable solely to Allina's services to the Law Enforcement Agencies. On <br />or before January lst of each year, Allina and the Law Enforcement Agencies shall review and <br />approve the amount to be paid to Allina for providing the services described in the Agreement <br />for the following calendar year. If the parties do not approve a change in the amount paid to <br />Allina under the Agreement for the following calendar year, Allina shall be paid for such <br />calendar year the same amount payable under this Agreement for the prior calendar year. The <br />payment specified is based on twelve (12) hours of physician time per year and twelve (12) hours <br />of Allina support staff time per year. Allina and the Law Enforcement Agencies recognize that <br />actual time may vary from month-to-month. <br />The City of Roseville shall pay Allina the total sum of $2,100.00 per year in quarterly payments <br />of $525.00, inclusive of costs and invoice partnering agencies in equal amounts. <br />18 3.2 Additional Pa,�. In the event that the Law Enforcement Agencies requests <br />19 additional services from Physicians beyond the hours specified in section 3.1, payment shall be <br />20 made at the rate of one hundred twenty five dollars ($125) per hour for physician time and fifty <br />21 dollars ($50) per hour for support staff time. Physicians and the Law Enforcement Agencies <br />22 shall mutually agree to any such additional hours before any work is performed. Payment shall <br />23 be made as set forth in section 3.1. <br />24 <br />25 <br />26 <br />27 <br />28 <br />29 <br />30 <br />31 <br />32 <br />33 <br />34 <br />35 <br />36 <br />3.3 Invoicin� Procedures. Allina shall submit quarterly invoices to the Roseville Police <br />Department. The invoice shall include the amount of the quarterly payment due, and the date, <br />location where service was rendered, hours providing the service, and description of the service <br />rendered for any additional services the parties agreed to and the Physicians provided since the <br />last invoice. <br />ARTICLE IV <br />Independent Contractor Status <br />37 4.1 Independent Contractors. The relationship between the parties is such that the Law <br />38 Enforcement Agencies and Allina and its employed physicians, are independent contractors. The <br />39 Law Enforcement Agencies shall neither have nor exercise control over the means or methods by <br />40 which Allina or Physicians performs the services. Nothing in this Agreement shall be construed <br />41 as creating an employer-employee relationship between Allina and the Law Enforcement <br />42 Agencies or the Physicians and the Law Enforcement Agencies. Neither party shall have the <br />43 authority or right to legally bind the other in contract, debt or otherwise, and neither party shall <br />44 be liable for any obligation acquired or incurred by the other, except as might otherwise be <br />45 provided herein.
