with the Redevelopment, it will be necessary to assemble and consider informationrelative to the economics, site assembly, phasing, environmental remediation and other aspects of the Redevelopment. The purpose of this Agreementis to a11ow Redeveloperan opportunityto assemble such necessary information, to refine its Redevelopment proposal and to negotiate with the City concerning the execution of one or more contracts for private redevelopment (collectively, the "Redevelopment Agreement") which, if executed, will set forth the rights and responsibilities of the City and Redeveloper with respect to such Redevelopment. �b� It is the intention of the parties that Redeveloper will proceed with the developmentactivities necessaryto permit Redevelopmentin a manner, and on terms and conditions, which are mutually acceptableto Redeveloper and the City. The parties acknowledge that in order for Redevelopment to occur, Redeveloper may at some point need financial and/or site assembly assistance from the City. This Agreement does not, however, constitute either approval or such financialor site assembly assistance, nor does it obligatethe Cityto provide such assistance, but the City sha11 cooperate with such efforts to obtain and will reasonably consider requests for financial and/or site assembly assistance. 4. Undertakin� bv Redevelo�er. During the term of this Agreement, Redeveloper intends to undertake and pursue certain activities with respectto the Redevelopment. Redeveloper's activities will include the following: � i� development of an Implementation Plan for the Redevelopment that is substantially consistent with Master Plan guidelines, or the advising of modifications for consideration by the City to the Master Plan guidelines, � i�� determination of costs of Redevelopment, including site assembly and preparation of the land for construction, �iii� analysis of necessary govemment approvals that will be required and the likelihood and timing of the same, �ik�� review of sources of financing, analysis of the feasibility of the Redevelopment, and �� such other activities as would be customary and necessary to determine whether to proceed with the Redevelopment. City's Undertakin an�d A�reement. (a� The City agrees to cooperate withRedeveloperin Redeveloper's undert�l�ings, and specifically agrees that during the term of this Agreement the City will not (i) provide or enter into an agreement for provision of financial assistance to any third party in connection with any proposedredevelopmentwithinthe RedevelopmentArea, (ii) negotiate with any otherparty for any redevelopment within the Redevelopment Area or (iii) except as may be necessary in connection with the provision of public improvements not related to new development or redevelopment by a
