S. Pavment of Costs. Any and all costs related to the locating, constructing, reconstructing, operating, maintaining, inspecting, altering and repairing of the telephone cabinet within the easement area shall be paid by Grantee. Grantee shall indemnify and hold City harmless from any and all costs, expenses and claims relating to the locating, constructing, reconstructing, operating, maintaining, inspecting, altering and repairing of the telephone cabinet including those costs and expenses resulting from mechanic's liens. 6. Indemnitv and Hold Harmless A�reement. Grantee hereby agrees to indemnify and hold City harmless from any and all claims, lawsuits, disputes and allegations by third-parties arising out of Grantee's construction, maintenance, or operation of the telephone cabinet within the easement area. 7. Propertv Damage. Grantee shall repair all damage to City's real or personal property outside of the easement area that is caused by Grantee's construction and maintenance of the telephone cabinet within the easement area. 8. Insurance. Grantee shall insure against loss or damage to the City's Property and its contents against fire and other casualty in an amount equal to replacement value. Grantee shall maintain or provide public liability insurance with limits not less than those specified in Minn. Stat. � 466.04 for claims of personal injury, death, and property damage occurring in connection with Grantee's use of the Property or due to Grantee's telephone cabinet. Nothing in this Agreement shall prevent Grantee from self-insuring the Property for the amount of the coverages required herein. 9. Assi�nabilitv. The parties' rights and responsibilitiesunder this Easement are assignable with written consent from the other party, and said consent shall not be unreasonably withheld.
