EASEMENT AGREEMENT This Agreement is made this day of ,2004 by and between the City of Roseville ("City") with its principal address at 2660 Civic Center Drive, Roseville, Minnesota 55113 and Qwest ("Grantee"), with its principal address at 1801 California Street, Suite 5200, Denver, Minnesota 80202 RECITALS L City is the fee owner of the following described properiy in Ramsey County, Minnesota (the "Property"): The East two hundred forty-five (E.245) feet of the North twenty (N.20) rods of the Northeast quarter (NE 114) of the Northwest quarter (NWl/4} of Section fourteen (14), Township twenty-nine (29), Range twenty-three (23), according to the Government Survey thereof. 2. City desires to grant to the Grantee an easement, according to the terms and conditions contained herein. TERMS OF EASEMENT 1. Grant of Easement. For good and valuable consideration in the amount of $1000, receipt of which is acknowledged by City, City grants and conveys to the Grantee the following easement: SEE EXHIBIT "A" 2. Scone of Easement. The perpetual easement granted herein for the purpose of the construction and operation of a telephone cabinet includes the right of the Grantee, its contractors, agents, and employees to enter the premises at all reasonable times for the purpose of locating, constructing, reconstructing, operating, maintaining, inspecting, altering and repairing within the described easement area a telephone cabinet, or other public utilities or improvements that are not inconsistent with this easement. 3. Warrantv of Title. The City warrants it is the owner of the Property and has the right, title and capacity to convey to the Grantee the easement herein. 4. Bindin� Effect. The terms and conditions of this instrument shall run with the land and be binding on the City.
