EASEMENT AGREEMENT <br />This Agreement is made this day of ,2004 by and between <br />the City of Roseville ("City") with its principal address at 2660 Civic Center Drive, <br />Roseville, Minnesota 55113 and Qwest ("Grantee"), with its principal address at 1801 <br />California Street, Suite 5200, Denver, Minnesota 80202 <br />RECITALS <br />L City is the fee owner of the following described properiy in Ramsey County, <br />Minnesota (the "Property"): <br />The East two hundred forty-five (E.245) feet of the North twenty (N.20) rods of <br />the Northeast quarter (NE 114) of the Northwest quarter (NWl/4} of Section <br />fourteen (14), Township twenty-nine (29), Range twenty-three (23), according to <br />the Government Survey thereof. <br />2. City desires to grant to the Grantee an easement, according to the terms and <br />conditions contained herein. <br />TERMS OF EASEMENT <br />1. Grant of Easement. For good and valuable consideration in the amount of $1000, <br />receipt of which is acknowledged by City, City grants and conveys to the Grantee the <br />following easement: <br />SEE EXHIBIT "A" <br />2. Scone of Easement. The perpetual easement granted herein for the purpose of the <br />construction and operation of a telephone cabinet includes the right of the Grantee, its <br />contractors, agents, and employees to enter the premises at all reasonable times for the <br />purpose of locating, constructing, reconstructing, operating, maintaining, inspecting, <br />altering and repairing within the described easement area a telephone cabinet, or other <br />public utilities or improvements that are not inconsistent with this easement. <br />3. Warrantv of Title. The City warrants it is the owner of the Property and has the <br />right, title and capacity to convey to the Grantee the easement herein. <br />4. Bindin� Effect. The terms and conditions of this instrument shall run with the <br />land and be binding on the City. <br />
