3. As soon as reasonable possible following the identification of such thirdparty (not later than the next business day), a meeting involving the representatives of both BIG 10 and the City and the third pariy, shall be held at the time and place designated by such parties, at such meeting the identified disagreement, dispute or claim, shall be considered and decided by a simple majority vote. In the event that (i) the parties are unable to agree upon a selected third party to participate in the resolution process or (ii) either party refuses to accept the decision referenced as above captioned, the sole remedy hereunder shall be termination of this Agreementpursuant to the termination selection. SECTION XVII TERM The term of this Agreement shall be for one year commencing July 1,2004 and shall be renewed annually for a one-year period. If the City does not act and give notice thirty (30) days prior to the renewal date, the contract shall be automatically extended for another year commencing July 1,2005 and from year to year thereafter, under its existing terms, unless and until the City gives notice of a non-extension. The above-captioned terms shall be valid unless this Agreement has been terminated by either party pursuant to Section XVIII. If after the terms of this Agreement expires, RSC desires to solicit new bids to operate concessions, BIG 10 shall have the right of first refusal to match any competitivebid.
