CUUNTY RUAD D CUNSTRUCTIUN AGREEMENT BETWEEN THE CITIES OF SHOREVIEW AND ROSEVILLE � � � � An Agreement dated this � day of 2000, by and between the City of Shoreview, Minnesota, hereinafter called "Shoreview" and the City of Roseville, Minnesota, hereinafter called "Roseville". WITNESSETH: Whereas, Roseville will reconstruct County Road D from Victoria Street to Avon Street in 2000, hereinafter called the "City Proj ect"; and Whereas, the portion of the City Project between Victoria Street to Avon Street is located on the boundary between Shoreview and Roseville; and Whereas, Roseville has prepared plans and specifications and will reconstruct both the north side (Shoreview) and south side (Roseville) of County Road D in 2000; and Whereas, Roseville will take bids for the project, prepare an abstract of bids and cost participation summary, award a contract and pay the contractor for the work performed to construct the City Proj ect NOW. THEREFORE, IT IS MUTUALLY AGREED BY AND BETWEEN SHOREVIEW AND ROSEVILLE AS FOLLOWS: 1. Upon award of a construction contract, Roseville shall perform or contract the performance of construction inspection and administration. 2. The construction cost of the City Project is estimated to be $20,375. Of this total, $10,187.50 is for improvements to be paid for by Roseville and $10,187.50 is for improvements to be paid by Shoreview as detailed in Exhibit A. 3. Shoreview shall reimburse Roseville twelve percent (12%) of its share of the construction cost, as determined by the final amount due to the contractor, as a construction engineering fee (Estimated to be $1,222.50). 4. Upon final completion of the work, Roseville will prepare a final cost participation breakdown based on the completed construction contract Shoreview agrees to pay Roseville any amount due within 90 days from the date of an invoice from Roseville. In the event that Shoreview has advanced funds greater than is due, Roseville shall refund the amount to Shoreview without interest. 5. Shoreview shall be responsible for all future maintenance of all items constructed under the contract located on the north side of the roadway. Roseville shall be responsible for all future maintenance of all items constructed under the contract located on the south side of the roadway. 6. Shoreview and Roseville agree to indemnify each other and hold each other harmless from any and all claims, causes of action, lawsuits, judgements, charges, demands, costs, and expenses, including, but not limited to, interest involved therein and attorneys' fees
