° :'. , `.� `� ,i GROUND LEASE, DEVEL ~� 1��1� �� AGREEMENT This Agreement dated , 2000, is by and between the CITY OF ROSEVILLE, a Minnesota municipal corporation ("Lessor"), and WILDLIFE REHABILITATION CENTER OF MINNESOTA, a Minnesota non-profit corporation ("Tenant") 1. GRANT OF LEASE. In consideration of the mutual covenants and agreements hereinafter set forth, the Lessor does hereby lease to Tenant and the Tenant does hereby rent from the Lessor the land described in the attached Exhibit "A" ("Property"). Tenant may construct and shall own improvements ("Improvements") on the Property subject to the provisions of this Agreement. The proposed and limited use of the Improvements and the unique character of the Tenant are an integral part of the consideration of the Lessor's leasing the subj ect properry, which is part of the Lessor's Central Park. Without the Tenant's mission of wildlife care and related public education, the Lessor would not lease the subject property; nor would the proposed use qualify as a legal use of the property without the joint operational and use elements between the Lessor and Tenant specified in this Lease. 2. TERM. This Lease sha11 be for a term of twenty (20) years, commencing on the 1�` day of August, 2000, and shall terminate on the 31st day of July, 2020, unless sooner terminated in accordance with the other terms of this Lease. At Tenant's option, this Lease may be extended for additional ten (10) year lease periods up to two (2) renewals. This Lease shall terminate if construction of the Improvements specified herein do not commence by December 31, 2002. 3. RENT. Tenant agrees to pay Lessor an annual rental of One Dollars ($1 .00).
