� .� � � � � v � AUTHORIZED WIRELESS SERVICE PR AGREEMENT AGREEMENT made as of the day of , 2000 (the "Effective Date"), by and between WaveRider Communications Inc., a corporation ("WaveRider"), ha�ing a principal place of business at 1400 Manchester Drive, Mundelein, Illinois, 60060, and the City of Roseville, a Minnesota municipal corporation ("Wireless Service Provider (WSP)"), ha�ing its principal place of business at 2660 Civic Center Drive, Roseville, Minnesota 55113 ("WSP Address"). 1. APPOINTMENT/CERTIFICATION 1.1 WaveRider hereby appoints WSP as the exclusive WaveRider Communications Inc. Authorized Wireless Service Provider with respect to the implementation of WaveRider NCL Equipment and Software, together with updates and enhancements thereto, specified in Section 3 hereof (collectively referred to as"Products"), to all End User customers within the Cities of Roseville, Arden Hills, Lauderdale, Falcon Heights, Little Canada, Shoreview, New Brighton, St. Anthony, Mounds View and North Oaks ("the territory"). WSP acknowledges and agrees that this exclusive appointment and the rights and licenses herein granted are subject to and contingent upon WSP's compliance with the terms and conditions of this Agreement. This appointment is exclusive for all WaveRider products and services listed in Seciton 3 below and the attached Schedule A. WaveRider may appoint other Authorized WSPs in the territory only with the express approval of WSP. 1.2 WSP hereby certifies that Products acquired under this Agreement are being acquired for the installation of systems to support End User customers in the regular course of business and provision of governmental services. 1.3 This Agreement, WSP's appointment as an Authorized WSP, the prices established herein and the Products and provided services herein described, including, but not limited to, warranty repair, installation and software support services, are valid for and apply only to Products purchased or licensed for delivery and installation within the territory specified in article 1.1. 2. TERM 2.1 The Term of this Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of one (1) year. This Agreement shall be automatically renewed for successive one-year terms, unless otherwise terminated pursuant to item 19 of this Agreement. 3. PRODUCTS/PRICES/DISCOUNTS 3.1 The Products eligible for purchase and license by WSP, on a non-exclusive basis, shall be as 90115
