FI BER TRANSPORT SERVI CE AGREEM ENT BETWEEN ROSEVI LLE I NDEPENDENT SCHOOL DI STRI CT 623 AND CI TY OF ROSEVI LLE, M N TH I S Servi ce Agreement (" Agreement" ) subj ect to the I aws of State of M i nnesota, i s between the Roseville Independent School District 623, (hereinafter "DISTRICT") 1251 County Road B2 W Rosevi I I e, M N 55113 and Ci ty Of Rosevi I I e, a I ocal uni t of government i n the State of M N, 2660 Ci vi c Center D ri ve, Rosevi I I e, M N 55113 (herei nafter " PROV I D ER" ). I. SERV I CES PROV I D ED . The PROV I D ER agree,s to i nstal I and provi de f i ber based transport servi ces to the site as identified i n Attachment A to this Agreement. II. TERM AND RENEWAL OFAGREEMENT. Theterm of serviceisforaperiodof fiveye�arsfrom the date of servi ce acceptance. The PROV I D ER agree,s to compl �e al I work and provi de servi ce to the D I STRI CT no e�arl i er than Jul y 1, 2010. The D I STRI CT may choose to rene�v thi s Agreernent at the end of theterm of thi sAgreement. The PROV I DER agree,sto rene�v theAgreement shoul d the Di stri ct choose to do so. The rate for renewal shall be mutually agreed between the DISTRICT and the PROV I DER but shal I not eacceed the cost for mai ntai ni ng the service. I I I. PAY M ENT. I n consi derati on for al I servi ces performed by the PROV I D ER the D I STRI CT shal I pay the PROVI DER a on�time charge of $70,694 and monthly payment of $3,120 for the term of the Agreernent. The D i stri ct shal I pay for servi ces as they are i mpl emented and operati onal . IV. E-RATE CERTIFICATION. The PROVIDER shall certify annually that it is registered with the Universal ServiceAdministration Companies Schools and Libraries Division with a valid Service Provi der l denti f i cati on N umber. Fai I ure to do so woul d be cause f or the D I STRI CT to termi nate thi s Agreernent wi thout any termi nati on I i abi I i ti es. V. SERVICE MAINTENANCE and CREDITS. The PROVIDER shall maintain the service at 99.9 percent avai I abi I i ty cal cul ated over a thi rty day wi ndow. The PROV I D ER shal I respond to troubl e report from the DISTRICT twenty-four hours a day, seven days a week. In the event service restorati on requi res an on-site vi sit, the PROV I DER shal I be onsite withi n four hours of reporti ng a troubleandwill makeall commercially r�asonableeffortsto resolvetheproblem. ThePROVIDER shal I provi de a servi ce outage credi t to the D I STRI CT for one day of servi ce for each ei ght hours of conti nuous outage. The servi ce credi t shal I be provi ded on the subsequent i nvoi ce to the D I STRI CT. V I. ASSI GN M EN T. The PROV I D ER shal I nei ther assi gn nor transFer any ri ghts or obl i gati ons under thi s Agreement without the prior written consent of the DISTRICT which shall not be unr�nably withheld. VII. AMENDMENTS. AnyamendmentstothisAgreementshall beinwriting,andshall beeacecuted by the same parti es who eacecuted the ori gi nal Agreement, or thei r successors i n off i ce.
