Crreen�aa�en and the <br />City �hall consult on initial icieas on layout. Greenhaven sh�ll <br />pro�idc a P17F �opy of'the layout to the City within five (5} days. <br />Af'ter the Gity's Cammunication Specialist reviews the layout, the <br />City shall appro�e or deny the layflut within three (3} days. <br />II. Term. `T`he term of this Agreement is a period of three years beginning on <br />May 1, 2�14 and ending on April 30, 2013, and the Agre�ment shall be effecti�ve upan <br />the appro�al of the C;ity Council and execution by the Mayor and City Mana�,er. <br />Notwithstanding the faregaing, the City shall ha�e the right, �with nr withn�it ����a�, t� <br />terminate the Agrccmcnt at any time by pra�viding Greenha�en with written natice of its <br />intent to terminatc the Agreement 30 days prior to termination. <br />III, Compensatian. Thc City agrccs to pay Greenhar�en $4,b9Q,0d per issue of <br />the Newsletter. �I�he City reser�es the right ta determine the number of issues of the <br />Newsletter to be print�d in any gi�ven year. Greenha�cn shall submit itemi�ed bills on a <br />per issue basis. Bills submitted shall be paid in thc same manner as Qther claims made ta <br />the City. <br />ZV. Governin I,aw and Cam liance, The Agreement shall be ga�crned by the <br />laws of the 5tatc of' Minnesata. In pro�iding services hereunder, Greenha�en shall abide <br />by all statutes, ardinances, rules and regulations pertaining ta thc pro�ision of thc <br />s�r�ices to be pro�vided. Any �ialation shall constitutc a material breach of the <br />Agreement. <br />V. Indemni�i�ation. Greenha�en agrees to indemnify and hald the City, and <br />its afti�er'S, agents and emplUyees, harmless fram any loss, claims, liability, damagcs, <br />judgments and expenses (in�luding reasonable att�rncy's fees and expenscs of litigation} <br />arising �ut Qf the failurc of� Greenhar�en to perform its obligation under this Agreement. <br />VI. Subcontractor. Grcenha�en shalI nat enter into sub�Qntracts far any of the <br />services provided for in this �greement without providing a detailed list of those <br />ser�i�es, including thc names and contact information ❑f thase ser�ice pra�iders. <br />VT�. Inde endent Contractar. At all iimcs and f'or all purpa5e5 hcreunder, <br />Greenhar�en is an indcpendent cQntrac:tar and nc�t an employee of thc City. Nathing <br />contained herein shall be canstrued So as ta make Greenhaven or any af its empl�yees an <br />employee ar an agent nf the City. <br />VIII. Assi nment.
