IX. Conflict af Interest. Greenha�en agrees ta ianmediately infqrm, by written <br />natice, the City Manager of possible canflicts of inierest with C:ity emplayces or r�fficexs. <br />Conflicis of interest may be gr�unds f�r tcrminatiQ� by thc City of'this llgreement. <br />X. Dwnership �f Work. Should the City elect ta terminate this Agreement <br />under Scction II hereaf, Greenhaven shall pramptly pra�vide all work-prr�duct to the City <br />for which payment has been mad� and ihc City shali be entiticd to utilize the w°ork in any <br />manner determined hy the City t❑ be in its bcst interests. <br />XI. Ilntirc AQreement. This Agreement supers�des al] �verbal agreements and <br />ne�ntiati�}n� hctween the parties relating ta the subject matter hereof; as wcll as any <br />pre�ious agreements presently in effect betwecn thc parties rc�ating to the subject matter <br />hereaf. Any alterations, atnendments, dcletians, or �°ai�ers of'the pravisians of this <br />Elgreement shall he �alid c�nly when expressed in writin� and duly signcd by the parties, <br />unless atherwisc pra�i�ied herein. <br />XII, Se�erability. The �arovisions ❑f this Agrecmcnt are se�erable. If any <br />po�tian af the contract is, for any reasan, held by a caurt af' campetent jurisdictian to be <br />cQntrary to law, such decisir�n shall not affe�t the remaining pro�isians of this <br />Agreement. <br />XIII, Natices.
