general HRA services. Fees shall be paid within 15 days following receipt of a monthly invoice <br />for services performed in accordance with this agreement. The parties recognize the hourly rate <br />is projected to increase as of March 1, 2008. <br />IV. Indemnification. The parties shall indemnify and hold harmless each other and their <br />officials, agents, and employees from any loss, claim, liability, and expense (including <br />reasonable attorney's fees and expenses of litigation) arising out of any action of the respective <br />parties in the performance of the service of this contract. <br />V. Assi�nment. This agreement shall not be assigned, sublet, or transferred by SEH or <br />the HRA without written consent of the other party. <br />VI. Conflict of Interest. SEH agrees to immediately inform, by written notice, the HRA <br />Chair of possible contractual conflicts of interest in representing the HRA, as well as property <br />owners or developers on the same project. Conflicts of interest may be grounds for termination <br />of this Agreement. <br />VII. Termination: This agreement may be terminated if either party and for any cause <br />upon 30-day written notice. <br />VIII. Notices. All notices to be given hereunder shall be in writing and shall be <br />deemed given the earlier of receipt or three (3) business days after deposit in the United States <br />Mail, postage prepaid, addressed to: <br />A.
