Attachment B <br />HOUSING & REDEVELOPMENT AUTHORITY <br />IN AND FOR THE CITY OF ROSEVILLE <br />SERVICES AGREEMENT <br />THIS IS AN AGREEMENT entered into the _ day of November, 2008 by and <br />between the Roseville Housing & Redevelopment Authority in and for the City of Roseville, <br />Minnesota, hereinafter referred to as the RHRA, and Sheila Stowell, an individual, hereinafter <br />referred to Ms. Stowell <br />WITNESSETH: <br />WHEREAS, the RHRA desires to contract with the Ms. Stowell to prepare minutes of <br />all regular and special board meetings. <br />NOW THEREFORE, the parties hereto do mutually agree as follows: <br />I. Scope of Services. Ms. Stowell shall perform the necessary and requested services <br />as outlined below: <br />A. Review of RHRA packet prior to the actual meeting. <br />B. Preparation of a template for the minutes consistent with previous templates utilized <br />by the RHRA <br />C. Preparation of the minutes from all RHRA Board meetings transcribed a DVD <br />provided by RHRA staff. <br />II. Term. This agreement shall be effective upon the approval of the RHRA Board of <br />Directors and shall continue on a month to month basis until terminated by either party upon 30- <br />day written notice. <br />III. Compensation. Ms. Stowell shall be paid at a rate of $23.00 per hour plus IRS <br />mileage reimbursement rates thru December 31, 2009. Beginning on January 1, 2010, Ms. <br />Stowell shall be paid $25.00 per hour plus IRS mileage reimbursement rates. Fees shall be paid <br />within 15 days following receipt of a monthly invoice for services performed in accordance with <br />this agreement. <br />IV. Indemnification. The parties shall indemnify and hold harmless each other and their <br />officials, agents, and employees from any loss, claim, liability, and expense (including <br />reasonable attorney's fees and expenses of litigation) arising out of any action of the respective <br />parties in the performance of the service of this contract. <br />V. Assi�nment. This agreement shall not be assigned, sublet, or transferred by Ms. <br />Stowell or the HRA without written consent of the other party. <br />
