will provide a summary of work performed and costs to the County, Board, and GLWMO with <br />a request for payment. Payment to the District shall be made within 30 days of receipt of <br />adequate documentation. <br />9. The project partners are in no way obligated by this agreement to participate in cost-sharing for <br />any future downstream projects related to the water flow from the West Vadnais Lake outlet. <br />10. The West Vadnais Lake outlet provides a stable outlet for water derived from land within the <br />jurisdiction of GLWMO and Vadnais Lake Area Water Management Organization into the <br />Ramsey Washington Metro Watershed District. Future land use or environmental changes may <br />alter the amount of water flowing from West Vadnais Lake and significantly modify the <br />intended function of the West Vadnais Lake outlet. The District shall assess the impact of <br />potential future changes and notify the project partners if, in its opinion, the original function of <br />the West Vadnais Lake outlet may be significantly altered. In such an event, the District will <br />convene a meeting of project partners and the Vadnais Lake Area Water Management <br />Organization to discuss the situation and identify appropriate remediation activities to maintain <br />the original function of the West Vadnais Lake outlet. <br />11. Ramsey County agrees to hold harmless, indemnify, and defend GLWMO (including its board <br />members, officers, and employees), Ramsey Washington Metro Watershed District (including <br />its board members, officers, and employees), and the Board of Water Commissioners of the City <br />of Saint Paul (including its board members, officers, and employees) from all claims, losses, or <br />damages which they, or any of them shall be legally obligated to pay as a consequence of any <br />act or omission, any intentional tort, or any violation of applicable law with respect to proposed <br />operation and maintenance of the West Vadnais Lake outlet and services thereto by the County <br />(including its officers, employees, agents and sub consultants). GLWMO, Ramsey Washington <br />Metro Watershed District and the Board of Water Commissioners of the City of Saint Paul <br />individually agree to hold harmless, indemnify, and defend Ramsey County (including its board <br />members, officers, and employees) from all claims, losses, or damages which they, or any of <br />them shall be legally obligated to pay as a consequence of any act or omission, any intentional <br />tort, or any violation of applicable law with respect to proposed operation and maintenance of <br />the West Vadnais Lake outlet and services thereto, respectively, by GLWMO (including its <br />board members, officers, and employees), Ramsey Washington Metro Watershed District <br />(including its board members, officers, and employees), or the Board of Water Commissioners <br />of the City of Saint Paul (including its officers, employees, agents and sub consultants). <br />PW2004- 4 of 7 <br />
