Paul the actual cost of any additional computer hardware and software and related <br />installation, maintenance and repair costs and such other equipment and related <br />costs used exclusively for Roseville, necessary to effectuate Saint Paul's <br />communication responsibilities hereunder. <br />9.) That further, Roseville will assume the expense of any specific start up training <br />or orientation requirements arising out of this agreement. <br />10.) That Saint Paul will meet quarterly with Roseville and after each significant <br />incident to review the quality of communications. <br />11.) In any calendar year subsequent to 1995, Saint Paul may increase the yearly fee <br />in an amount not to exceed $200.00 per year to defray its additional wage and <br />fringe benefit costs for its fire dispatchers in such year. <br />12.) That Roseville will enter into a Public Service Answering Point (PSAP) <br />Agreement with Ramsey County. <br />13.) That Roseville will indemnify and hold harmless Saint Paul from any and all <br />claims arising out of Saint Paul's performance hereunder excepting those directly <br />attributable to Saint Paul's negligence. <br />14.) That this agreement may be terminated without cause upon 90 days written notice <br />by either party. In the event the agreement is cancelled pursuant to this <br />paragraph, Roseville will be obligated to pay only a proportionate amount of the <br />yearly cost equal to the amount of the year that expired prior to the cancellation. <br />15.) For the purposes of administration of this agreement, Roseville's representative <br />shall be the Roseville Fire Chief and Saint Paul's representative shall be the <br />Assistant Fire Chie£ Those positions are currently held by Joel Hewitt and <br />Warren Schaub, respectively. <br />Approved as to Form: <br />Assistant City Attorney <br />
