H. Pavment of Pt'OleCt Costs. During the design and construction of the Combined Projects, Roseville shall submit partial and final pay requests to Shoreview for Shoreview's share of the cost of the Combined Projects. Shoreview shall remit its payment to Roseville, payable to the Treasurer of the City of Roseville, within 30 days of receipt of the pay request. L Landscaping. The Cities of Roseville and Shoreview will jointly install trees around the ponding areas as part of a future project. Tree planting shall be done within two years of the construction of the ponding areas. The cost participation between the cities will be determined during the design of this portion of the Combined Projects. 3. Indemnification. The City of Roseville and the City of Shoreview agree to indemnify each other and hold each other harmless from any and all claims, causes of action, lawsuits, judgments, charges, demands, costs and expenses including, but not limited to, interest involved therein and attorneys' fees and cost and expenses connected therewith, arising out of resulting from the failure of either party to satisfy the provisions of this agreement or for damage caused to third parties as a result of the manner in which the City of Roseville or the City of Shoreview perform or fail to perform duties imposed one each party by the terms of this agreement. Nothing herein will constitute a waiver of limitations of liability available at Minnesota Statute Chapter 466 and other applicable law. K. Ownershia/Maintenance. Upon completion of the Owasso Boulevard West Reconstruction Project, each City shall own and maintain the portion of the project located within its corporate boundary. Upon completion of the Storm Water Ponding Project, each City sha11 own the portion of the project located within its corporate boundary. It is acknowledged that detention and sedimentation ponds serve a larger watershed function. Accordingly, maintenance and operations costs associated with the pond areas constructed as part of this project sha11 be shared by both cities and will be commensurate with their respective contributing watershed areas, weighted to reflect an appropriate runoff coefficient. Respective maintenance cost-share percentages are to be determined in the future. At this time, it is agreed that the share of such costs will follow the construction contribution of 20% for the City of Roseville and 80% for the City of Shoreview.
