TRANSIT SHELTER AGREEMENT <br />Outdoor Promotions, Inc. <br />( For internal city use only.) <br />This Transit Shelter Agreement (the "A�ureement") is inade and entered into this <br />day of ,�?001 �y and between the CITY of ______, <br />a NTinnesota municipal ccarporatic�n (the "City"), and OUTDOOR PROMOTIONS, Inc., �� <br />Colorado Corporation ("Outdoor Promotions"). <br />WITNESSETH: <br />WHEREAS, the City desires tc� implement a program (the "Transit Shelter Pr�.��;ram") <br />pursuant to which illuminated transit shelters will be installed and maintained in <br />compliance with this Agreement at certain bus stop sites to be identified from time t�� <br />time by the City, Transit Authority and Outdoor Promotions; and <br />WHEREAS, Outdoor Promotions is in the business of installing and maintaining <br />illuminated transit shelters and it has submitted its proposal to the City to prc���idt its <br />services with respect to the Transit Shelter Program; and <br />WHEREAS, the City desires to engage the services of Outdoor I'romotions ���itl� rttiF�t�ct <br />to the Transit S11e1 tcr Program upon the terms, covenants and conditions hereinafter s��l <br />forth. <br />NOW, TI�REFORE, for and in consideration of the abo�re premises and the terms, <br />covenants and conditions set forth herein, the City and Outdoor Promotions hcre�b�' <br />agree as follows: <br />ARTICLE I: A UTHOP.TZATION <br />The City hereby authorizes Outdoor Promotions to make reasonable and la�vfL�l uSE� of <br />the City rights-of-way at its sole cost and expense to install, repair and maintain a <br />minimum of (_) transit shelters at active bus stop sites to l�e identified <br />from time to time by the City pursuant to this Agreement. <br />ARTICLE II: SCOPE OF WOP�IC AND SERVICES PROVIDED <br />1, Basic Services. Outdoor Promotions shall furnish, install, repair and maintain <br />safe, clean and attractive illuminated transit shelters w�ith r����entt� generating <br />advertisements in compliance with this Agreement. In connection therew-itlz, Outd��c�i <br />Promotions shall provide all materials, supplies, equipment, services and personnel at <br />its sole cost and expense without any cost or expense to the City. All transit slleltei-� <br />sha1L (i) be installed within one hundred eighty (1ti0) davs of the City's issuance of the <br />applicable permits and licenses, (ii) be erected in order of panel advertisement sales, ( i i i) <br />contain lighting to illuminate the inner area of each shelter from dusk to dac��n; �lnd <br />
