The liability insurance pc�lices sha11 l�t� <br />endorsed to include the City as an additional insured. <br />ARTICLE VI: INDEMNIFICATION <br />Outdoor Promotions shall defend, indemnify and hold harmless the City, its i�ffict�rti, <br />agents, representatives and employee� from and against a11 liability, claims, den�ancl� <br />and expenses (including court costs and reasonable attorneys fees), on account of an�� <br />injury, loss or damage, arising out of or in connection with the performance L�t' (.)�ticic�c�i <br />Promotions of its services pursuant to this Agreement, if such injury, loss or dama�;� is <br />caused by the negligent acts, errors or omissions of Outdoor T'romotions, �t st�bcc�ntract��� <br />of Outdoor Promotions, or any officer, employee, agent or rc�present�tiv�� i�>f Ot.itci��r�i <br />Promotions. Such indemnity sha11 not apply to any injury, loss or c� �� ttl ��;e �ti' h i c h i� <br />caused by the negligent acts, errors or omissions of the City or any of its agents ��� <br />employees. <br />APTICLE VII: CITY'S RESPONSIBILITIES <br />The City shall provide Outdoor Promotions with all available information c��hich i� <br />relevant to the Transit Shelter Program together with the necessary guidance 1nd <br />direction to achieve the Program's objectives. In consideration of the City's use r�f th� <br />transit shelters at no cost, the City hereby assures access to and L�se of tht� nearest <br />electrical power and waives all permit and use fees for each transit shelter cc���t�i-�>d 1�`� <br />this Agreement. Provided that each transit shelter complies fully with tht� prc��•i�iun� ��; <br />this Agreement and all applicable provisions of the City's Municipal Code, all n�ces�ar�- <br />permits for the installation and/or maintenance of the transit shelters shall b� ;;r�nttd <br />by the City. The process for obtaining such permits shall be expedited l�v a11 �it�- <br />departments to assure that shelters are installed within one hundred ei�;h t�- (1 �0 )�i �i �-ti. <br />ARTICLE VIII: REMOVAL OF SHELTERS <br />Outdoor Promotions shall within thirry (30) days after receipt of �vritten notice frc�m thE� <br />City remove any transit shelters which are located at discontinued bus st��E� sites. <br />Additionally, Outdoor Promotions shall relocate anv transit shelters within tllirt�' (�1���1 <br />days after its receipt of a written request to do so by the C i t�� as a result �� f re d e�� t 1��}� m t n t, <br />traffic hazards or changes in bus routes.
