ARTICLE IX: ALTERATION C� F SERVICES In the event that the City desires at any time to alter or change t h e� nature or c h�� r ��: t t� r�� t the services to be provided by Outdoor Promotions hereunder and such alteration �>>� ohange materially increases the costs and expenses to be incurred by (�utd��ot Promc�tions or reduces the advertising revenues which can be generated by Outdoor I'romotions, suoh alterations or changes sha11 not be effective until the City and Ot� tdi��r Promotions have mutually agreed to and executed an amendment to this Agreement, which amendment may ipclude an adjustment to the City's fee under Artirlc IV htrt��f. ARTICLE X TERMIl�TATION Upon any default or breach of this Agreement by either Outdoor Promotions i�r the Ci t� and if such default or lx-each continues for a period of thiriy (30) days after receipt h�� th�� breaching pariy of written notification thereof, the non-breaching pariy n1��' tE�r�nin�� te this Agreement. Upon termination of this Agreement, Outdoor PromotiC�n� shall remove a11 transit shelters installed by it pursuant to this Agreement, within thirtv (�0) days of termination. ARTICLE XI: ASSIGNMENT Outdoor Promotions sha11 not assign or transfer its rights, duties a n d obligations u n d t r this Agreement, in whole or in part, without first obtaininb the written consent c�f the City, which consent shall not be unreasonably withheld, provided, how��'er, tha t tht� City's consent shall not be required with respect to any assignment by Outdoor Promotions to any person or entity which controls, is controlled by, or under c��mn��i� control with Outdoor Promotions or which merges with or into Outdoor Promc�tit�n� �� acquires substantially a11 of the assets of Outdoor Promotions. ARTICLE XII: NONDISCRIMINATION Outdoor Promotions, its agents, employees, contractors and subcontractors shall ne�t discriminate c�n the basis of race, color, national origin, ancestry, age, sex, reli�;ic�n �>>- disability in connection with its services provided pursuant to this Agreement.
