CITY OF CENTERVILLE <br />RESOLUTION #19-016 <br />RESOLUTION AUTHORIZING CONVEYANCE OF REAL PROPERTY TO <br />MIDWEST BEST WATER SALES, INC. <br />AND ASSIGNMENT TO <br />MCKASY BROTHERS, LLC <br />WHEREAS, the City of Centerville desires to sell real property legally described as Lot 3, Block <br />1, Clearwater Business Park, Anoka County, Minnesota; hereinafter referred to as the Subject <br />Property. <br />WHEREAS, the City desires to sell the Subject Property to Midwest Best Water Sales, Inc., <br />hereinafter referred to as the Buyer. <br />WHEREAS, the sale of the Subject Property is consistent with the goals of the City's <br />Comprehensive Plan. <br />WHEREAS, the City entered into a Purchase Agreement with the Buyer on March 21, 2019, for <br />the sale of the Subject Property. Attached as Exhibit A. <br />WHEREAS, the Purchase Agreement allowed the Buyer to assign their rights under the <br />Agreement to a third party; the Buyer has assigned their rights for the sale of the Subject <br />Property to McKasy Brothers, LLC, a Minnesota limited liability company, and the City shall <br />issue a warranty deed to McKasy Brothers, LLC. <br />WHEREAS, the City must appoint representatives, in the City Administrator and/or the City <br />Attorney, to represent the City and to affect the purposes of said Purchase Agreement and for all <br />purposes related to the Closing of this property transaction. <br />NOW, THEREFORE, IT IS HEREBY RESOLVED AND KNOWN TO ALL, that the City of <br />Centerville, DOES SELL AND CONVEY OWNERSHIP of the Subject Property to the Buyer <br />consistent with the terms of the Purchase Agreement and subject to conveyance of the attached <br />easement to the City. <br />FURTHERMORE, IT IS HEREBY RESOLVED, that the City of Centerville designates its <br />representatives and signators as City Administrator, Mark Statz, and City Attorney Kurt Glaser, <br />for all purposes necessary pursuant to the Purchase Agreement and to make the sale of Subject <br />Property as set forth in this RESOLUTION. <br />
