City of Arden Hills <br />Emergency Management Contact <br />This agreement is entered into on June 11, 2018 by and between the City of Arden Hills and Lake <br />Johanna Fire Department. This agreement sets forth all terms and conditions concerning the <br />contract appointment of Deputy Chief (hereinafter "Consultant") to the position of Arden Hills Emergency <br />Manager. <br />A.TERM OF APPOINTMENT <br />This contract shall begin on January 1, 2018 and continue indefinitely at the discretion of the City and the <br />Lake Johanna Fire Department. Either Party may terminate this Agreement by providing three months <br />written notice to the other Party. <br />B.DUTIES AND RESPONSIBILITIES <br />The Consultant shall function as the Emergency Manager for the City of Arden Hills. In times on non­ <br />emergency the Consultant shall attend the meetings of the Ramsey Emergency Management office and <br />become acquainted with the emergency management community. During an emergency the Consultant <br />shall advise and assist the City Council, City Administrator, Public Works Director and Public Works <br />Superintendent in the performance of their duties with regard to emergency management for the City of <br />Arden Hills. <br />C.HOURS OF WORK <br />It is anticipated that Consultant shall work varying hours depending on the emergency. <br />D.COMPENSATION AND GENERAL BENEFITS <br />The City of Arden Hills will not incur any additional cost for the Emergency Manager Services, unless <br />otherwise agreed to by both parties. <br />E.GENERAL <br />This contract constitutes the entire agreement between the parties and supersedes any other agreement <br />written or oral. The terms of this agreement may be modified only by subsequent written agreement <br />signed by both parties. In the event that any part of this agreement is declared or rendered invalid by <br />court decision or statute, the remaining provisions of the agreement shall remain in full force and effect. <br />Minnesota law shall govern the interpretation and construction of this agreement. <br />F.INDEMNIFICATION <br />In the event that a claim or cause of action is brought against the LJFD or any of its officers, members or <br />employees (including the Emergency Manager) by a third party or parties, arising out of services provided <br />to the City of Arden Hills by the Emergency Manager pursuant to this Contract, the City of Arden Hills will <br />defend, indemnify and hold harmless the LJFD, its officers, members, and employees <br />(including the Emergency Manager), to the extent of the statutory municipal liability limits then in effect. <br />DATE: ____________ _ <br />Lake Johanna Fire Department <br />DATE: --------------- <br />City of Arden Hills
