ARTICLE VIII. BOARD OF DIRECTORS <br />Section 8.1 Directors. The Board of Directors shall consist of seven Directors as provided <br />hereinafter: Two Directors shall be community representatives from the City of <br />Shoreview; One Director shall be a community representative from the City of Arden <br />Hills; One Director shall be a community representative from the City of North Oaks; <br />and Three Directors shall be representatives from the active membership of the Lake <br />Johanna Fire Department. <br />Section 8.2 Qualifications of Fire Department Directors. The three active members to be elected <br />from the Fire Department shall have been active members for at least eight years and <br />shall be members in good standing as defined in Section 3.1.1. Full-time employees of <br />the Fire Department are prohibited from being members of the Board of Directors. The <br />Fire Chief shall be assigned to a station. The Fire Chief shall not vote unless the Chief <br />becomes an active member of the Fire Department. <br />Section 8.3 Qualifications of Community Directors. The community Board of Directors members <br />shall be filled by individuals who either reside in or are employed in the community <br />they represent. Active as well as probationary members and full-time employees of the <br />Fire Department are prohibited from serving as Community Directors. These <br />Community Board of Director members shall be chosen for their ability to determine <br />policy and may have experience in business, public service, industry, human services, <br />labor, education or other relevant fields. <br />Section 8.4 Selection Process. The Community Board of Directors shall be selected by each of the <br />respective cities. Shoreview shall select its directors; Arden Hills shall select its <br />director and North Oaks shall select its director per Section 8.1 and 8.3. The Fire <br />Department Board of Directors shall be selected from the Fire Department membership <br />per Section 8.1 and 8.2. <br />Section 8.5 Initial Terms of Directors. The Fire Department Directors seats are three years in <br />length or until their successor is elected. Fire Department Director seat terms are <br />staggered to have one seat expire each calendar year. Community Director seats are <br />three years in length, or until their successors are appointed. <br />Section 8.6 Annual Meeting. The Board of Directors shall hold their annual meeting within two <br />weeks following the annual meeting of the membership for the purpose of electing <br />officers for the ensuing year, and to transact other business as may properly come <br />before it. <br />Section 8.7 Regular Meetings. Regular meetings of the Board of Directors shall be conducted in <br />accordance with the schedule adopted at the first meeting of the year and be held at <br />such time and place as shall from time to time be determined by the Board of Directors. <br />There shall be at least four (4) regular meetings of the Board of Directors per year and <br />more if deemed necessary by the President. <br />El <br />
