8.7.1 Meeting Minutes. Minutes of all regular Board of Directors meetings will be <br />distributed to each station and will be posted. The failure of the minutes to be posted <br />will not negate any action properly taken by the Board of Directors. <br />Section 8.8 Special Meetings. Special meetings of the Board of Directors may be called by the <br />President at the Presidents discretion and shall be called by the President whenever <br />requested in writing by at least three members of the Board of Directors. Notice of <br />special meetings shall be given to each Director personally, or by U.S. Mail and email <br />at least five days in advance of the meeting. Special meetings of the Board of Directors <br />may be called without notice to the Directors, if a full Board of Directors convenes and <br />all agree to hold the meeting at such time and place and waive all rights of notice <br />thereof. <br />8.8.1 Emergency Action in Lieu of Meeting. Emergency actions required or permitted to be <br />taken at a Board meeting, with reasonable notice, may be taken by written action signed <br />by four or more Directors with at least one being an Active Fire Department Director. <br />Section 8.9 Quorum. At all meetings of the Board of Directors, four of the Directors shall be <br />necessary and sufficient to constitute a quorum for the transaction of business, and the <br />act of the majority present at a meeting at which there is a quorum, shall be the act of <br />the Board of Directors. <br />Section 8.10 Order of Business. <br />a. The meeting shall be called to order by the President at the time and on the date of <br />the meeting. <br />b. Roll call. <br />c. Approval of the minutes of the previous meeting. <br />d. Approval of Financial Report. <br />e. Approval of list of bills paid. <br />f. Personnel items. <br />g. Fire Chief s Report. <br />h. Unfinished business. <br />i. New business. <br />j. Adjournment. <br />Section 8.11 Removal of Directors. Directors may be removed from office by a majority vote of the <br />remaining members of the Board of Directors for failure to attend three or more regular <br />meetings of the Board of Directors, provided for in Sections 8.6 and 8.7 in a calendar <br />year. Directors may be removed from office by a majority vote of the remaining <br />members of the Board of Directors for cause, which includes but is not limited to, <br />
